Job description / Role

Employment: Full Time

The primary responsibility of the lawyer will be to provide legal opinions, contract management, conduct legal research and review/draft contracts and agreements.

• Ensures the Company’s continuous compliance with legislation, regulation and the requirements of professional bodies and other organisations, keeping abreast of changes in laws, rules and regulations that may impact current or proposed future business activity/license and advising accordingly.
• Assist in preparing all the Board and relative Committees minutes, agendas, extracts and resolutions;
• Ensure involvement and awareness of all transactions where the Company is engaged, from initiation, ensuring limited risk exposure to individuals, 3rd parties and the Companies/groups public image.
• Arranges, manages and handles external counsels as required to provide legal advice or representation in areas of special expertise or in litigation.
• Arrange and prepare all legal and regulatory requirements and legal advice for establishing in new jurisdictions;
• Draft, prepare, review Agendas and minutes for various steering committees in which the Company is involved with third parties, and keep track of their resolution to make sure they are fully implemented;
• Handle all contract management related issues, including but not limited to, expiry date, invoices payment, and any other request to make sure the Company complies with its contractual obligations;

Requirements

In coordination with the General Counsel, provides legal representations, advices, and opinions in monitoring and resolving disputes that may lead to litigation and/or concerning the Company’s participation in business ventures with other business entities at home and abroad.

• Assists in developing and conducting staff legal training sessions and workshops, where needed.
• Conducts and commissions legal research and analysis and prepares legal memoranda, opinions and position papers upon request.
• Facilitates, supports the General Counsel in providing legal advice and counsel in negotiation sessions, grievance hearings, administrative hearings, arbitration or appeals
• Drafts and reviews contracts, proposals, engagement letters, agreements and core business plans as requested,
• Assist the General Counsel in achieving the Legal Department objectives and KPIs through proper execution of the of the Tactical Plan
• Assists as needed with the Company’s responses to external requests for information, reporting, complaints, or citations from external governmental or non-governmental organizations
• Assist the General Counsel upon request in any investigations being conducted at any time.
• Assists in developing, initiating and reviewing the company’s Corporate Governance framework, including charters, induction program, policies and strategies in accordance with the Code of Corporate Governance in the Kingdom of Bahrain and works closely with the General Counsel to ensure effective implementation.
