The Role


The Role


The Assistant Corporate Counsel shall
(1) draft and review various legal documents, including contracts, corporate materials (such as board resolutions, general assembly meetings and articles of association) and other documents and legal instruments relating to the Company's activities in Kuwait and abroad;
(2) research various questions of Kuwait and foreign law and prepare related memoranda;
(3) assist in the development of internal processes that ensure the Company complies with all applicable corporate governance policies and regulations;
(4) work with the Corporate Secretary and the Assistant Corporate Secretary to further corporate restructuring efforts and maintain Company records; and
(5) generally support both the local and international sections of the Legal Department.
- Review and draft a wide range of agreements (in English and Arabic) for all business units, including distribution agreements, supply agreements, leases, sales policies, releases, disclaimers and notices.
- Research various legal issues relating to the activities of the Company under laws of Kuwait and other countries.
- Advise the Company in connection with international transactions and participate in cross-border negotiations, including travel from time to time.
- Advise the Chief Legal Officer and the Chief Executive Officer regarding the development and implementation of a corporate restructuring plan.
- Work with external counsel to address various matters and liaise between the applicable business unit(s), the Legal Department and such external counsel to ensure that the Company's needs are met.
- Establish companies and draft all related documents, including articles of association, board resolutions and powers of attorney.
- Assist in maintaining and updating the Company's records, in conjunction with the Corporate Secretary and the Assistant Corporate Secretary.
- Translate legal materials from Arabic to English or English to Arabic, including contracts and internal corporate documents.

Requirements


Requirements


Essential:

2-3 years of experience working as a Lawyer in a highly reputable private firm or international company.
Experience drafting legal documents in English and Arabic.
Experience negotiating contracts in English and Arabic.
Excellent communication and interpersonal skills.
Excellent English and Arabic language skills (spoken and written).
Willingness to work in a multicultural, team-based atmosphere.
Personal maturity, patience and calm demeanour.
Highly computer literate, particularly with regard to word processing, Power Point and Internet-based research.
Advantageous:

Previous work in family-owned private companies.
Legal training or experience within the GCC or wider Middle East.
