Job description / Role

Employment: Full Time

Constantly check and monitor the commercial companies law and code of corporate governance related to the roles and responsibilities of the directors and obligations of company in order to advise of any changes to ensure that BOD and concerned departments operates within the approved frameworks.
Identify and report the key projects and initiatives of the company to the BOD to ensure that adequate reviews / deliberation time are given to facilitate the final decision and availability of sufficient support required.
Monitor and follow up the BOD decisions and instructions given to MEDC management, and various companys divisions and units to guarantee that actions are taken and progress/ status report is provided to the BOD on time.
Gather and collect highly sensitive and confidential information from different MEDC personnel and present it to BOD from time to time based on their request in order to facilitate decision making.
Liaise with different Government offices and private sector in order to implement matters related to the Companys business plan.
Coordinate to BOD different sub-committee members and liaise with their respective secretaries to follow up the development of their respective tasks and provide other assistance they need in order to accomplish it.
Coordinate with the Chairman and Members of BOD regarding meetings and workshops either local and/ or abroad participations in order to provide the necessary information, documents and / or presentation they require.
Maintain safe custody and validity of statutory company documents to meet the BOD directives.
Plan, organize and coordinate the Boards Meetings and General Meetings (ordinary and extraordinary) and act as secretary by sending meeting invitations, drafting and editing agenda, and ensure to record the decisions and Minutes of Meeting.
Draft and edit the Board of Directors Reports in consultation with the company management at the year ends to present it to the Annual General Meeting.
Assist the activities of the Chairman and Directors; maintain the company records, directors, and shareholders articles of association and to ensure that decisions of the Board of Directors are properly recorded, communicated and implemented as required.

Requirements

QUALIFICATION:
Bachelor degree in Business Administration, or equivalent

EXPERIENCE:
Minimum 7 years business experience, with extensive working exposure in Supervisory function,

SKILLS:
Good communication skills are needed in written and spoken English and Arabic
Should posses Leadership & negotiation skills
Good listening skills needed with strong report writing abilities.
Computer literate, knowledge of Word, Excel and PowerPoint.

About the Company

Muscat Electricity Distribution Company (MEDC) is the only entity responsible for distribution of electricity in the Governorate of Muscat.  It is 99.99% owned by the Electricity Holding Company (EHC) and the remaining 0.01% by Ministry of Finance.  The company was formed on 1st of May 2005 as a result of the Royal Decree  78/2004 promulgating the law for the regulation and privatization of the electricity and related water sector activities in the Sultanate of Oman.

The Decree aims to achieve a comprehensive restructuring of the electricity sector by means of gradual privatization hence the operational responsibilities  were split and passed on from Ministry of Housing, Electricity & Water (MHEW) down to MEDC and nine other companies that are now involved in various related activities.  Having these responsibilities means that MEDC is entitled to own, maintain and develop the distribution networks in the Governorate of Muscat.

MEDC’s main function is to build and maintain the necessary infrastructure for the distribution of electricity in the governorate of Muscat.  The area of responsibility includes private consumers, commercial consumers and government Sector.  This variety in customers gives MEDC a competitive advantage in the field and keeps the door for improvements always open.
