Chief Legal Officer - Saudi

Client Profile:

Our client is a major Saudi Arabian Building Contractor who employs a significant number of western expats on their projects in the Kingdom of Saudi Arabia. Established for over 40 years they have constructed many high profile projects in the Kingdom in the commercial, residential and medical sectors.

They have number of projects under construction with individual contract values well in excess of a billion dollars.

They are currently seeking a Chief Legal Officer to work closely with the CEO and other senior employees of the company.

You will provide of confidential legal advice to the Chairman and CEO on sensitive issues concerning all aspects of the companys business and operations.

Review and advise on the corporate structure of the business and carry out any necessary restructuring exercise to match the legal structure to operational structure including board and committee structures and provide adequately documented safeguards where the structure differs.

Devise draft and administer the corporate governance procedures of the company including establishment, definition and periodic review of the corporate standard operating procedures to ensure that they are legally robust commercially relevant and comply with the best world practice compatible..

Provide sound strategic legal advice promptly to aid top management with decision making, as well as providing legal advisory services to all tiers of management in order to protect the legal and commercial interests of the company.

Prepare negotiate and process the companys legal documentation such as concession agreements, joint ventures, framework agreements end user agreements, financing agreements etc.
Lead or participate in negotiations with the companys contracting parties, shareholders and investors where required, for the implementation of the companys commercial objectives.

Maintain appropriate awareness of the legislative and regulatory

Deal with litigation and arbitration proceedings in those cases where all other avenues of resolution have been exhausted. Supervise and participate in the preparation and review of all briefs for litigation, engage external counsel to represent the company in court and provide assistance to counsel as required.

Anticipate legal risks and exposure in relation to the companys activities and prepare regular status and significant event reports on legal matters.

Requirements

Requirements:
Relevant Third level qualification and career progression.
Experience in the construction sector highly desirable
Experience in the Middle East is essential and some exposure to Saudi law would be desirable

Conditions:
The salary is negotiable but will be in line with the seniority of the position. The position will be based in Riyadh on either a family or single status. Benefits include compound accommodation, schooling for children, flight, medical and transport.
