Job description / Role

Employment: Full Time

My client is an IT solutions & consultancy company developed with a vision to provide cost effective & technically competent solutions to cater to all classes of industries.

The role shall be responsible for the creation, review, and management of all corporate legal documents and internal policies. To optimize our current document management system and liaise with the head office in Lagos to ensure all corporate documents are in order and accessible to all parties.

- To implement a cloud based document management system and synchronize the system with our third party legal team.
- To create and or review shareholder and board minutes.
- Optimize the process of board meetings to ensure proper tax residency.
- Review internal documents and processes and create policies related to the administration of the entity.
- Work with Corporate Services providers to ensure smooth transition of new administrators, directors, and secretaries.
- To liaise with the head office in Lagos to ensure all policies are communicated, understood and followed.
- To adopt the highest standards of ethics and integrity and abide by the groups code of business conduct and anti-bribery policy.
- To maintain the highest standards of confidentiality.
- Assist Finance team in reviewing entity legal documents and recommending proper documentation as required by financial auditors.
- Control all corporate documents related to the multiple entities administered and operating from Dubai.
- Create Board Minutes, Board Resolutions, Loan agreements, proxies, and other legal documents as needed.
- Assist with all application related to opening of bank accounts.
- Work with Financial Controller and MD to create multiple policy documents.
- Take responsibility for the collection of documents related to new entity creation and the transfer of entity administration to our offices.
- Provide weekly status update reports to MD and Financial Controller, as well as appropriate parties in HQ.
- Work with HR to ensure contracts of employment are in place for Nigerian based employees.
- Assist in obtaining visas for new employees.
- Review legal documents related to Real Estate Transactions in the UAE.
- Ability to create Service Level Agreements with affiliated companies as well as 3rd parties.
- Become the Management Representative for ISO certification.

Requirements

- Bachelor in Corporate Law or Business Management.
- Bachelor Degree + Diploma in Corporate Secretary.
- 8+ years experience in Legal Department / Compliance Department.
- Excellent technical and communication skills. Must speak and write perfect English.
- Highly discrete and able to uphold the utmost confidentiality.
- Self-confident and very proactive.
- Highly organised and structured.
- Prepared to be hands-on to achieve results and maintain deadlines.
- Drivers License.
- Ability to multi-task and provide accurate output in a timely manner.
- Desire to work in a start-up environment and have their hands in multiple areas of the business.
- Culturally aware and sensitive.
- International business experience.
