Job description / Role

Employment: Full Time

The incumbent will be responsible for providing a focal point for communication with the Nominee Directors that represent the company on the Board of Directors (BOD) of subsidiaries/affiliates, and will occupy a key role in the administration of critical corporate matters including corporate governance issues, mergers & acquisitions and other corporate activities. The incumbent will be responsible for ensuring the effective running of the activities of the Corporate Secretariat through maintaining accurate and sufficient documentation to meet legal requirements, and to enable the company representatives to execute decisions at the BOD level of subsidiaries/affiliates. The incumbent may represent the company in dealings with outside parties.

Requirements

•Undergraduate/postgraduate Law degree from an internationally renowned law school, or chartered secretary qualifications e.g. ICSA
•At least 8-10 years legal experience, of which several years experience as a corporate secretary.
•Excellent communications skills in Arabic, English and French
•High Degree of Cultural Sensitivity and awareness
•Extensive Experience within acquisitions and corporate governance
