The Role


The Role


Assist the Corporate Communications Director (CCD) in ensuring the organization complies with the statutory and other regulatory requirements and maintains the communication between the regulatory bodies such as Stock exchange or Security Board, Registrar of companies, governmental authorities, etc. Provide information to the CCD with the legal and regulatory aspects of the company’s affairs with respect to investor relationship and fund management and works towards its compliance who will in turn update the Board Of Directors (BOD).

• Deal with correspondence, collating information, writing reports, ensuring decisions and relevant requirements are available to the CCD to be communicated to the concerned people or authorities.
• Assist the CCD to manage relationship with shareholders, BOD, stock exchange, stock managers, agents, and Company Management.
• Assist the CCD in arranging the General Body Meeting and BOD Meetings, and preparing agendas for, and taking minutes of meetings when called for.
• In coordination with the CCD, liaise with external regulators and advisers, such as lawyers, auditors and brokers, etc, ensuring applicable legal and statutory compliance, and also monitor the changes in relevant legislation and the regulatory environment.
• Maintain the register of shareholders and monitoring the changes in share ownership of the company in coordination with stock managers.
• Administer and involve in the share issues, splits, rights, option schemes, transfer etc., and coordinate for dividend payments.
• Participate and involve in the issuance, maintenance, conversion, redemption etc., of financial instruments such as bonds, debentures, etc.,
• Coordinate with the CCD in the production of the interim and annual reports.

Requirements


Requirements


Associate or fellow member of The Institute of Company Secretaries from a reputed institute.

Minimum: Graduate in Business Management or Accounting/Finance

Desired: Post graduate degree in addition to the above

Shall have minimum 5 years experience in a similar position in an Indexed or Listed company which is actively trading in an Indian or foreign stock exchange.
