Job description / Role

Accountability
1. Coordinate the development of Raysuts legal documentation and follow-up on all legal matters.
2. Ensure compliance of Group policies, procedures and governance with laws and regulations.
3. Coordinate the provision of legal advice to executive management

Roles and Responsibilities
1. Participate in and provide legal guidance to Board and Management Committees.
2. Represent Raysut for all legal proceedings
3. Perform legal research to remain updated on new regulations.
4.Coordinate outsourced legal activities (e.g., litigation)
5. Asses regulatory environment and advise Corporate and departments on possible impact on strategy and business plans.
6. Review corporate governance legal requirements and ensure Group compliance.
7. Develop and supervise all legal documents drafted by, or sent to, Raysut
8. Set guidelines for non-binding agreements (MOUs, etc)
9. Develop/ review strategic contracts (JVs, acquisition, etc) and standard legal contracts (e.g., employment contracts, etc)
10. Oversee Company Secretary activities
11. Organize Board and General Assembly meetings and sets the agenda
12. Collate management information from various divisions to report to the management team and the Board.

Requirements

Education
- Law degree and board certification is required
- LLM or equivalent is preferred

Experience
- 15+ years of legal experience in cement or related industry with at least 5+ years as Head of Legal/ Legal Counsel.
- Proven track record of accurate executive management advisory and litigation success
- Exposure and understanding of MENA region, and adjacent emerging markets.

Competencies
- Masterful knowledge of Oman and surrounding countries legal systems.
- Proven knowledge in corporate structures
- A proven track record of leading complex business transactions along both debt and equity
- Skillful with business management, leadership, deal making, and strategic legal approaches
- Broad-based understanding of contract negotiations, mergers and acquisitions, corporate law and licensing.
- Excellent communication and relationship management skills.
