Job description / Role

Employment: Full Time

The purpose of this role is to provide legal and commercial support to the Territory in a clear and consistent manner.

- Manage all Company Secretary requirements including, establishment of all new entities across the middle east region, drafting articles and memorandums of association, board resolutions etc.
- Draft contractual Terms & Conditions with Customers, Subcontractors, and Partners including MOU`s, NDA`s, Teaming agreements, Partnering agreements, Consultancy, Escrow, Sub-contracts, Framework, Recruitment, Service Level, Shareholders, Management and SPA.
- Engage with contract leads to ensure that all contractual arrangements recognize the requirements of Corporate Taxation, Treasury, Risk Management and Legal requirements and standards.
- Monitor change in relevant legislations and the regulatory environment and implement any changes to Policies and procedures as appropriate.
- Manage and co-ordinate all Performance guarantees, Warranty, Retention and Advance payment Bonds, Parent Company Guarantees, Letters of Credit, Power of Attorney and other certified documents.
- Generate Power of Attorney and Sub Power of Attorney as appropriate to SME Directors and Contract Managers.
- Provide Legal papers/notes to guide establishing legal entities in various Middle East region when required for service delivery & Conduct and lead legal and commercial due diligence with Partners for JV`s, Partnerships or SPVs including for M&A operations.
- Provide advice and guidance on litigation and dispute resolution processes.
- Provide Legal Briefings on legislations and regulations affecting SME business.
- Ensure the company complies with all applicable laws, as well as its legal and statutory requirements.
- Work with the business teams to develop legal templates and processes for new business and commercial models.
- Generate ad hoc management reports as required.
HSQE and Information Security Responsibilities
- To be aware of, and play an active role in the development of the Integrated Management System and the content of the Environment, Quality, Health & Safety and Information Security Policy Statements, to implement these within their area of responsibility;
- Understanding of personal responsibilities and contribution to achieving compliance with the Integrated Management System requirements, (including but not limited to competence to perform safety critical roles, legal requirements, control measures arisen from environmental impacts and aspects, job safety analysis and information security risk assessment) and the potential consequences of departure from the arrangements in place to deliver the commitments stated in the policies statements above;
- To exercise a personal duty of care for their own health, safety and welfare and for those affected by their acts or omissions;
- To use safety equipment (including PPE) as required and intended and observe that this is also enforced within their departments and among subcontractors and third parties working in Serco`s controlled premises/systems
- Promote a good HSQE and Information Security culture within their departments and among their peers, subcontractors and third parties;
- Lead by example and actively encourage their departments to look at ways to conserve energy, water and resources and minimise the generation of waste through personal performance and raise recommendations on how to improve existing processes on this regard within/outside their departments through their Line Manager, Departmental Safety Meetings and any other appropriate available channels;
- Protect information assets and data including both electronic and paper based from all threats whether internal, external, deliberate or accidental;
- Promote a good HSQE and Information Security culture among their peers, subcontractors and third parties;
- Conduct regular reviews on the HSQE and Information Security Performance within their departments and seek ways to continually improved.

Requirements

Knowledge, Skills, and Experience

Knowledge
- Professional Law degree or equivalent Business qualifications.
- Basic knowledge of Finance
- Knowledge of legislations in areas of operation
- Specialist to provide Legal and Governance assistance

- Good time management and organizational skills.
- Ability to handle confidential information appropriately.
- Ability to liaise in a professional manner with staff at all levels in the organisation and with external parties.

Experience
- 5 years experience in Legal and Contracts environment with a minimum of 2 years of such experience in the Middle East region.
- Experienced in drafting various forms of Agreements (Teaming, NDA, JV, MOU etc.).
- Experienced line manager.
- Experience of working in a multi-site organisation.
- Risk Management experience.
- Sub-Contract Management experience.
- Experienced in Export Regulations (INCOTERMS).
- Knowledge of Insurance
