The RoleThe RolePrincipal Accountabilities: Responsibilities-Legal: • Performing reviews on various types of contracts of the Company. • Advising on Legal solutions. • Drafting legal contracts, MOU, NDAs and other legal arrangements, notices, letters and other correspondence. • Handling contract negotiations with clients, vendors and other third parties. • Maintaining effective track for all agreements reviewed and drafted • Monitoring and maintaining effective track of on-going litigation. • Daily update to the existing Manager on tasks assigned and completion. • Participate in discussions on the legal issues with the Management Committee. • Proactively identify and notify the existing Manager of critical legal issues. • Handling reporting on the status of the Agreement. • Handling the quarterly reporting to the Audit Committee and the parent company • Handling all corporate legal matters and correspondence relating to Memorandum & Articles of Association, shareholders, authorised signatories, Board, AGM and co-ordinating with the MOIC, external Lawyers and CBB. • Maintaining effective records and keeping all the files upto date in systematic manner. • Maintaining Confidentiality of Legal Work. Responsibilities –AML: Assisting MLRO Manager in the below day to day activities: • Conducting Customer Due-Diligence. • Updating KYC Information. • Ensuring compliance with AML regulations of CBB. • Handling reports and updates to CBB. • Handling periodic external audit review process. • Deputise all the functions of the MLRO in its absence. • Handling the periodic and regular internal staff AML training programs. • Handling reporting requirements of CBB, parent company and Audit Committee/Board. • Handling reporting and other AML compliance requirements of Parent Companies, including specific name screening projects, KYC collection and regular status updates. |
RequirementsRequirementsKnowledge and Experience & Skills: Knowledge Background: • Qualified Lawyer from an accredited law school (Degree in Bachelors in minimum). • Ability to use all standard computer application efficiently and effectively. • Neat document formatting skills required. Experience: • Experience of 5-6 years PQE in handling the legal work in the banking sector or financial services industry. • Proficient in contract drafting, negotiating and legal advice in the financial services industry. • Experienced in handling corporate legal matters such as Memorandum & Articles of Association, insurance, shareholders, board of directors and meetings, AGM/EGM. • Experienced in working on IT contracts, AMC contracts will be considered good. • Previous experience in AML work is an added advantage but not a necessary condition. Skills: • Excellent legal drafting skills in English and Arabic. • Understanding of fundamental principles of Contract and Commercial Law. • Ability to use judgement, tact and discretion. • Ability to exercise good judgment in recognizing scope of authority and protecting confidential information is a must. • Good Communication Skills. • Fluency in English (spoken and written). Arabic is an added advantage though not a necessary condition. • Excellent document working skills and expertise in effective files and records maintenance is a must. • Ability to grasp quickly. |
