Job description / Role

Employment: Full Time

JOB PURPOSE:

Vetting of standard legal documents to ensure that the bank is protected at all the time through complete, valid documents in line with bank internal policies, procedure, regulatory guidelines.

RESPONSIBILITIES:

Operations & Process Responsibilities:
1. Timely vetting of executed documents received from Business Units including security / source documents, relating to approved credit facilities to ensure the following:
a. All required documents as per the terms and conditions stipulated in the approval have been obtained.
b. Accuracy and completeness of all required legal documents.
c. Existing security, charge and source documents are valid.
2. Examine all constitutive source documents and mandates in depth relating to Corporate Borrower in order to ensure the following:-
a. Proper borrowing powers are available and supporting documents are in place.
b. To ensure that no change in the Legal status / constitution of the Borrowers / Guarantors has taken place without Bank's prior approval and that in the event of such change appropriate documents are obtained / prepared in order to protect Bank's rights / assets.
3. Review the validity and status of documentation/time bound documents relating to term loans approved under existing terms & conditions.
4. Ensure that post facto requirements are formally advised to SCOs in order to update the EDLR.
5. Ensure that any deficiencies / deferrals are properly advised to SCOs in order to update the EDLR.
6. Ensure that no clearance is issued to CAD in case of discrepant documents, unless there is specific approval for waiver / deferral from the approving authority.
7. Ensure that complete sets of documents against respective facilities are delivered to the 'Safe Custody Officer' for lodgement in the Electronic Document Lodgement Register (EDLR), for scanning in the Electronic Document Management System (EDMS) and then for proper filing/safe keeping.
8. Advise documentation deficiencies to Business Units and assist them to rectify the same.
9. Provide clearance to CAD, for limit input or disbursement of facility into the system, after completion of documentation requirement or on deferral basis wherever situation warranted.
10. Provide inputs necessary for generating different reports to be sent to various stakeholders in the bank
11. Liaise with Legal & Remedial Risk Departments for solutions and legal advice/opinion on documentation perfection.

Customer Service:
1. Process vetting of documents within agreed turnaround time.
2. Meet service level standards to ensure internal customer satisfaction.
3. Maintain a cordial and professional relationship with all internal stakeholders/clients by effective and appropriate communication.

Compliance / Control:
1. Accurate vetting of legal documents in compliance with Bank policies and procedures.
2. No adverse audit comments.
3. Attend/Comply with Audit comments and observations in respective areas, within stipulated time-frames.

Occasional Duties:
1. Assist Senior Manager Documentation Vetting in improving Units work flows and processes.
2. Work/deliver on specific assignments as and when requested by Documentation Division Management.

Requirements

The candidate should have at least 3 years of banking experience in a credit department and/or in preparation/vetting of security/charge documents.

Educated at least to the level of a Bachelor's degree, for the purpose of maintaining internal parity.
