Senior Compliance Advisor, Corporate Finance and Capital Markets, MENAP & Africa

Job Description
The role holder supports the the Heads of Product Compliance in advising and overseeing a business with respect to its management of regulatory and reputational risk.

Key Roles & Responsibilities
- Approving new products and new business initiatives.
- Assists local teams with product line expertise as required, particularly with regard to regulatory inspections or investigations.
- Works on a global basis with the various regional and country compliance teams to ensure coordination and strategic implementation of compliance best practices for the respective businesses.
- Represents Compliance in debt commitment committee and approve capital market transactions.

Controls development and implementation
- Develops Compliance policies and procedures applicable to the business.
- Assists in the development and enforcement of product standards and controls.
- Works collaboratively with the business and Operational Risk in the BKCSA process.
- Ensures appropriate documentation of controls and control decisions.

Training
- Actively participates in the delivery of a program of activities that educates and encourages business managers and staff to operate in compliance with relevant laws, regulations and policies.
- Provides ad-hoc additional training as and when appropriate.
- Assists in the development of an effective internal business compliance culture by promoting the benefits of ethical business conduct and the benefits of compliance.
- Provides product-specific training to local specialists.
- Distributes knowledge on lessons learned across various jurisdictions to local teams.

Monitoring/reporting
- Develops and implements Compliance monitoring in conjunction with relevant stakeholders - local teams and/or Relevant Product Specialists. Has direct responsibility for the Desk Review process.
- Prepares reports for Compliance management.
- Ensures timely escalation of incidents, control breaches to relevant stakeholders - senior management in Compliance, local country and region Legal & Compliance management, and other risk stakeholders

Partnership
- Builds relationships with relevant stakeholders in the business, in the Legal & Compliance organisation, and in other risk functions.
- Endeavours to keep all relationships on a strong professional and collegial footing.
- Endeavours to take a holistic approach to the management of risk -the compliance issue may not be the most pressing risk issue.

Requirements

Technical Knowledge
- Possesses core technical knowledge in typical laws and regulations applicable to the business (or businesses) for which he is responsible.
- Has an introductory understanding of variations in such laws and regulations across various jurisdictions.
- Has a core grasp of the sales and transactional activities of the business, its operating model, and its key risks.

Technical Knowledge - Corporate Finance & Capital Markets
- Knowledge of capital markets businesses - primary offerings, underwriting, distribution, placements, rights issues - in both debt and equity markets. Knowledge of regulations applicable to a corporate finance/capital markets business - licensing, offshore bankers, booking location etd. Knowledge of corporate finance/capital markets process - pitching, engagement, due diligence, deal team, execution of transactions. Knowledge of regulations applicable to corporate finance/capital markets business - Chinese walls, insider trading, interaction with public side, conflict of interest. Knowledge of related issues applicable to a corporate finance/capital markets business - personal account dealing, information segregation, deal file management.
- Knowledge of advisory businesses - M&A, restructurings, takeovers, LBOs. Knowledge of regulations applicable to an advisory business - licensing, offshore bankers, booking location. Knowledge of typical corporate structuring issues - takeover rules, listing rules, equity aggregation issues, company law issues (financial assistance, lending to related corporations, interested party transactions).
- Knowledge of structured finance businesses - typical structures, and regulatory and reputational consideration arising from such structures.
- Knowledge of typical lending/financing businesses - syndicated loans, project finance, infrastructure finance, shipping finance, aircraft finance. Knowledge of regulations specific to banking - lending limits, single borrower rules, minimum asset or minimum liquidity base, capital ratios, liquidity management, and regulations applicable to specific industries - shipping, aircraft, and infrastructure projects.

Technical Knowledge - Principal Finance
- Knowledge of private equity/mezzanine alternative investments businesses - sales, investor pitches, investor commitments, subscriptions, capital calls, portfolio acquisition, management of the portfolio, distribution of returns. Knowledge of a distressed assets/special opportunities business - acquisition and due diligence issues, holding of a distressed asset, regulatory reporting obligations, conflict of interest and information flows considerations arising out of the interaction of these businesses with a broader banking/securities business.
- Knowledge of a fund management business - subscriptions, redemptions processes, and investment evaluation. Knowledge of conflict of interest considerations arising out of the interaction between a fund management business with a broader banking/securities business.

Technical Knowledge - Research
- Knowledge of a Research business - research independence, disclosures, the pre-deal research process for IPOs/bonds, conflicts of interest between research and corporate finance businesses, considerations arising out of the interaction between research with the broader banking/securities business.

Compliance skills
- Core knowledge in risk identification, risk assessment, controls development, training, monitoring and reporting.
- Core experience, shown by demonstrable achievements in the above areas.

Analytical skills
- Core ability to analyse relevant laws and regulations and co-relate regulatory issues to products and business models.
- Core ability to identify and articulate compliance issues.
- Core problem solving and solution finding skills.
- Introductory ability to carry out data mining and trend analysis.

Communications and client management skills
- Core presentation skills - one-to-one, small group, large group.
- Core teamwork skills.
- Core ability to ensure that relevant stakeholders receive relevant and timely information on developments in compliance or in the business, with the priority on ensuring no surprises.
- Core ability to use communications channels appropriate to the situation.
- Introductory dispute resolution skills.
- Introductory ability to lead discussions around complex problems with relevant stakeholders.
- Introductory ability to drive the compliance agenda with senior business leaders.

Communications and client management skills
- Ability to manage and lead a team

Institutional knowledge (not required for new hires)
- Core knowledge of the system of internal controls that enables effective management of the affairs of the Group.
- Core knowledge of internal governance and management structures.
- Introductory knowledge of the products and services offered by the bank, its history, geographical footprint, and strategic plan.
