The Role


Job Purpose Statement:

The Documentation Manager is responsible for the overall management of all non-Arabic agreements and other legal documents on behalf of the bank and to ensure that such documents are executed in the Bank’s best interests and to assist with Compliance functions in general.

Essentially, the incumbent is required to:
• Understand the impact and the legal implications of the various terms and conditions contained in current and proposed agreements;
• Assist the business areas in negotiating agreements and other contractual undertakings and providing relevant input to ensure that all undertakings are executed in the Bank’s best interests;
• Assist the compliance function to ensure that all relevant regulatory requirements are met on behalf of the Bank in all such legal undertakings; and
• Ensure that a proper inventory of all executed agreements and other legal documentation is maintained..

Generally, the Documentation Manager shall perform other duties as required, which include:

1. Compliance reviews on various sections of the bank in relation to legal documentation
2. Educating business units and management on legal and documentation issues,
3. The development of policies and procedures for the bank.

Principal Accountabilities:

1. Responsible for providing input to the business units on executing legal documentation with local and international counterparties, including agreements and contracts and managing the records of such agreements successfully executed
a. Peruse all documents submitted to the bank for signature;
b. Consider legal and risk implications of the documents and discuss with management,
c. Assist the business areas with negotiating the terms and conditions of agreements and contracts with all counterparties;
d. Manage, develop and implement a documentation retention and record system.

2. Advise departments on legal and compliance issues and make recommendations in order to reduce risk.

3. Develop policies and procedures in conjunction with other departments to ensure compliance with agreements and documents.

4. Managing the documentation process by reviewing all documentation and agreements relating to international transactions (English) and reviewing of such documents on a regular basis.

5. Assist the section generally in all compliance and legal related matters and tasks.

6. The incumbent is obliged to abide by any instructions furnished by his manager with regard to scope of work which will be reviewed periodically.

• Wide range of knowledge and experience in legal matters related to banking and financial services as well as investment, and compliance

Language:
• English

Qualification:
• Qualifications in Law a prerequisite. Additional qualifications in accounting, commerce, compliance and risk management an advantage.

Experience:
• Over 5 years experience in legal field (international experience) with specific exposure to banking, treasury and asset management fields. The job requires a broad knowledge of banking in general with legal, investment, banking and accounting knowledge to deal with the various matters that form part of the functions and responsibilities.
