Senior Legal Counsel

Job description / Role

Objective/Purpose of the Role:
1. To support the client and its business and other units to deliver the business plan in accordance with legal and financial regulatory requirements.
2. To be responsible for providing strategic legal advice to the businesses of the Client and its subsidiaries and ensure daily legal support.

Key Responsibilities:
- Manage the client's strategic and legal documentation.
- Manage the legal aspects of the groups shareholdings and carry out company secretary activities (prepare minutes, render opinions on activities related to the Articles of Association and corporate governance matters).
- Act as Company and Executive Management Committee Secretary and monitor overall corporate governance as detailed in the Corporate Governance Framework Manual.
- Participate in negotiating, reviewing and drafting all required business unit agreements.
- Advise business units on contractual issues, regulations and legal provisions.
- Provide legal advice on commercial, financial, civil and corporate maters related to the client's investments, and corporate activities.
- Conduct legal due diligence on transactions entered into by the client, in accordance with industry best practice.
- Manage and interface with third party legal advisors.
- Provide internal training on legal and regulatory topics in order for the business to keep abreast of regulatory issues and to enhance individual ownership of risk and fiduciary responsibilities.

Key Relationships (Internal and External):
- Executive management, DFSA, and Board of Directors and other Regulators.

Requirements

1. Direct experience with Legal/Regulatory/Compliance aspects of various fund regimes, principally including Luxembourg and the Cayman Islands.
2. Direct experience with Legal/Regulatory/Compliance aspects of various financial services regulatory regimes, principally the DFSA,but also EFSA (Egypt Financial Services Authority); and Oman would be an advantage.
3. Direct experience in drafting and supporting the negotiations of different fund related documentations.
4. Direct experience in supporting/organizing appropriate corporate governance work including Board/Director minutes and Board/Director resolutions.
5. Demonstrable experience of capital markets transactions (both debt & equity) including regulatory, structural and documentation aspects of such transactions.
6. Background in Islamic Finance and experience of devising Sharia compliant structures.
