Job description / Role

Employment: Full Time

Acts number 2 in the legal affairs department.

- This position requires providing assistance to companys departments in Kuwait including: Management (Chairman and Managing Director); Alternative investments, Anti-Money Laundering, Brokerage, Finance and Accounts, Risk Management, HR & Administration, Information Technology, Internal Auditing, Asset Management, Investment Banking, Litigation, Marketing and Communication, Sales, Operations, Private Equity, Private and Institutional Clients, Real Estate, Regulatory Compliance, Research and Publication and Treasury Departments.
- Providing legal assistance and advise to companys branches, subsidiaries and related entities outside Kuwait, mainly in UAE (Dubai, Abu Dhabi, Ras AlKhaimah), KSA, Egypt, Jordan, Syria, Bahrain, Qatar, Sudan, Turkey, etc. with flexibility to travel and attend meetings along with CEOs and management of said entities outside Kuwait as business may require.
- Liaising with authorities bodies in said countries to follow up on legal procedure and information.
- Liaising with external lawyers whether inside or outside Kuwait, in Europe (France, UK), USA, Hong Kong, MEAN and South Asia.
- Assisting in the execution of restructuring process and implementation of restructuring understandings, agreements etc.
- Participating in meetings and negotiations with creditors and debtors of the company.
- Participating in setting up exit strategies and following-up on investments inside and outside Kuwait.
- Great ability to understand, classify and provide solutions for pending files and conflicts, working in accordance with management basic instructions and in coordination with different departments. Following up on implementation of such solutions internally and with third party.
- Drafting, reviewing and negotiating all sort of documents, letters and contracts including financial advisory agreements, portfolio agreements, swap agreements, Services agreements, Supply Agreements, Investment management agreements, Murabaha Agreements, share transfer agreements, etc. in addition to MOUs, NDAs, and different standard agreements.
- Following on establishment of SPVs, Funds and other entities as part of a transaction structure for fiscal, tax and other purposes and review all related documents including PPM, prospectus, Articles of association, etc

Requirements

- Excellent written and verbal communication skills.
- Superior negotiation and legal drafting acumen and attention to detail.
- Solid relationships within the entertainment industry business affairs and legal communities, including broadcast and cable networks, as well as a proven facility for forging new relationships with business partners and within the company.
- Ability to independently exercise sound judgment, make sound decisions, and perform under minimal supervision on a daily basis.
- Strong initiative to take on tasks and set own priorities and deadlines.
- Ability to excel under pressure in a demanding, fast-paced, results-oriented work environment.
