The Role
The Role
The group is seeking to fill an important role within the organization.
Role/Responsibilities:
Coordinate all arrangements for meetings of the Board and management committees to ensure that they are properly organized and conducted and that minutes are accurately recorded and circulated.
Advise the Board and management committees on all statutory and constitutional requirements to ensure that business is conducted in a proper and effective manner.
Circulate decisions of the Board and committees to all relevant parties and take any necessary follow-up action to record progress on these.
Keep Board and committee members informed of all issues relevant to them and provide any necessary training and induction to ensure that they are aware of their responsibilities and of procedure.
Prepare any returns and records required by statute to ensure that the organization conducts its business in a legal and proper manner, including registers.
Preparation of papers and providing advice in relation to company secretarial matters including: execution of documents, changes of officers, transfers of shares, changes of name, registered office, bank mandates, dissolution and audit enquiries;

The company is an assembler and distributor of passenger cars and commercial vehicles and operates Egypt's biggest network of Service Centres. Currently its flagship asset is its exclusive license from South Korea's Hyundai Motor Corporation to assemble and distribute Hyundai cars, Egypt's best selling passenger car which had around 27% of the market in 2007. GB Auto is also a manufacturer of commercial vehicles, namely buses and trucks under exclusive licences from Japanese automakers, Mitsubishi, the Swedish group, Volvo and also Hyundai. Among the group's other lines of business are: distribution of motorcycles and scooters through an exclusive arrangement with Bajaj of India, distribution of tires through a licence from Lassa of Turkey and the distribution and service of construction equipment through an exclusive license from Volvo as well as handling equipments from German producers, Linde. Annual group turnover in 2007 was LE 4.6 billion returning a net profit LE 0.5 billion. Strong growth in both the top and bottom line is anticipated to continue in the coming years. GB Auto is listed on the Cairo Stock Exchange.

The Person:
This role reports directly into the CEO and requires a qualified Company Secretary or Lawyer with 10 years of experience in this field along with excellent organizational time management and interpersonal skills.
