Job description / Role

Employment: Full Time

You will be responsible of assisting Chief Governance Officer in communicating board decisions and key governance policies and practices, providing training and educational materials to boards, executives, and employees on governance issues as appropriate, maintaining corporate governance records, ensuring bylaws and corporate governance principles are applied in the company, when required, assisting the Chief Governance Officer in crafting of policies and procedures, bylaws, resolutions, and other materials pertaining to governance and business operations, coordinating with finance, regulatory, HR, investor relations to monitor effectiveness of and adherence to internal controls, policies, and processes, investigating reported violations of the code of conduct, monitoring industry best practices to maintain governance standards at high level, assisting the Chief Governance Officer in maintaining master calendar for the Board and Committees meetings; providing notice to meeting participants, assisting the Chief Governance Officer in developing agenda and prepare accordingly; prepare materials (board packs), assisting the Chief Governance Officer in taking the minutes of board and committees meetings, ensuring board meeting follow-up, including circulation of board resolutions and minutes as applicable, supporting the process of selection and removal of directors, assisting Chief Governance Officer in providing training and educational materials to the executives, and employees on governance issues and assisting Chief Governance Officer in maintaining corporate documents in records management system in conformity with governance principles and bylaws; documents include minutes of all board and board committee meetings, director and shareholders’ resolutions and policies concerning governance matters, board membership, articles of association, and committee charters.

Requirements

You should have a minimum of 3 years’ experience directly related to a corporate governance or legal function, 3-5 years’ experience in corporate law and governance of public and private companies, background in telecommunications industry, law and regulations a plus with a university degree in law.
