Role Summary:

This is a GE seconded role to GESAT. The Legal Advisor for GESAT will have the overall Governance responsibility, including tasks on all legal aspects of the company's Business, operations and initiatives in areas such as but limited to: Litigation, Competition Law, internal and external Communications as well as providing assistance in structuring and negotiating a variety of strategic commercial contracts with GESAT customers, with a particular focus on the Power sector.

Essential Responsibilities:

• Assisting Commercial team in Drafting, reviewing and negotiating strategic business agreements and transactions with specific reference to the Business.
• Providing regulatory and compliance advice in conjunction with the Regulatory and Compliance specialist areas in GESAT.
• Managing and supporting the management in disputes and litigation.
• Supporting the development and maintenance of a strong culture of compliance including supporting Compliance projects, conducting investigations and preparing investigation reports with recommended and corrective action for closure.
• Provide specialist advice on matters of local law across the Region, in particular on governance laws, public procurement laws, competition laws and integrity laws (anti-bribery and anticorruption), anti-money laundering and anti-terrorist financing laws.
• Reviewing equipment sales and service contract in accordance with the Business' policies and procedures.
• Review / negotiate / draft bespoke agreements, including those related to vendors, agents, NDA's, MOU's (i.e. non-customer agreements).
• Assisting on matters of corporate housekeeping and legal documentations such as related to powers of attorney, article of associations, shareholders meetings and shareholding structures.
• Support, as and when applicable, the Business in relation to internal audits, external audits and follow up items resulting from such audits.
• Support GESAT Commercial teams on the screening and advisory on-boarding and/or termination of third party vendors / suppliers / partners.
• Interface with high senior levels of clients, agents and senior government officials on all legal aspects.
• Working with the shareholders legal function leaders as well as Shareholders Commercial team as a business partner to help identify opportunities to drive business forward and support growth opportunities and initiatives.
• Advising on matters of intellectual property, as and when applicable.
• Conducting impactful training to the Business' team in relation to legal, regulatory and compliance matters.

Requirements

Qualifications/Requirements:
• Bachelor of Laws or higher with active bar membership. International Law degree is preferred
• A minimum of 10 years of experience at a large, preferably international, law firm or multinational company's corporate legal department.
