Job description / Role
We require a professional lawyer with a minimum Bachelor’s degree in law, with an experience in the Islamic Finance and Private Equity Investment transactions. A suitable candidate should ideally have a 3-5 years of working experience in the legal department of an Islamic Asset Management Company specialized in Private Equity or more preferably a Shariah Compliant Family Office.
The Financial Advisor will be responsible for all the legal matters pertaining to Company or Company’s investments.
Duties and responsibilities
- Review and approve the legal structure/ legal documents of investment opportunities, including but not limited to Private Equity, Investment Funds, Real Estate, Structured Product, Discretionary Portfolio Management Accounts etc. with a view to protect the Company’s interest.
- Perform Legal due diligence on financial institutions through which the company invests with, which should include but not limited to verifying/ reviewing their regulatory licenses, Memorandum and Article of Association, Shareholders Agreement, the regulatory frame work of the operating jurisdiction with a view to ascertain that the institutions are authorized to provide the financial services and are genuine.
- Negotiate with the legal departments of the counter parties (usually financial institutions) to amend the legal agreements/ contracts, if necessary to protect the interest of the Company.
- Review, negotiate and approve the financing agreements with financial institutions.
- Work with the outside law firms, which the Company may hire for specific purpose or for specific investment transactions in different jurisdictions, with a view to protect Company’s interest.
- Review and approve the Account Opening Documents and other related documents required at the start of relationship with financial institutions or during the course of normal business.
- Drafting or amending the legal documents (e.g board resolution, Memorandum and Article of Association of the Company) as required.
- Registering a new company or an SPV in different jurisdiction as per requirement. The Legal Advisor will work with outside law firm which the Company may hire for specific purpose.
- Representing the Company in courts if required and negotiating settlement terms.
- Any other work which pertains to the legal matters of the Company or Company’s investment.
Requirements
- Bachelor’s or Master’s Degree in Law.
- Must be Fluent in English Language. Fluency in Arabic Language is an added advantage.
- MS Office
- Must have at least 2 years of working experience in the legal department of an Islamic Asset Management Company specialized in Private Equity or in a Shariah Compliant Family Office.
- Understanding of UK Law or Cayman Island law is an added advantage.
The nature of Job may require travelling or occasional extended working hours.
