Employment: Full Time

As General Counsel, you will provide legal and strategic advice to our client Company. You will manage the provision of legal and governance advisory to ensure that the organisation's interests are effectively protected and presented and ensure compliance with applicable local and/ or global laws, frameworks and regulations.

Description

* Oversee the provision of legal counsel to safeguard the Company's interest, ensure compliance with all applicable local and / or global laws, rules and regulations, and minimise liability and risk exposure.
* Provide strategic advice to the company Leadership on legal implications of new and critical projects as well as deals and investments to protect the corporate interests and minimise liabilities.
* Review employee engagement results and develop action plans to establish a motivated and engaged workforce.
* Oversee the Legal and Governance function performance by managing performance of direct and indirect reports, defining workforce requirements, recruiting, training and developing talent, in conjunction with the Human Capital function, to ensure competent, qualified and highly motivated staff enable the achievement of the function's objectives.
* Manage the development and / or review of a wide range of complex agreements, contracts and other relevant documentation to ensure the protection of the Company's interests at large, and alignment with business objectives and requirements.
* Manage the development and updating of standard terms of business and standard form precedents to ensure consistent use across the organisation.
* Lead the resolution of all litigation or court proceedings where necessary, through the Litigation & Regulatory Affairs function and external legal counsel when required, to defend the Company against any claim or legal action taken against it.
* Overlook the selection of vendors and service providers, at a local and global level, to ensure compliance with internal standards and processes, and provision of high quality and reliable legal services.
* Manage vendors and service providers to ensure all services are procured in a timely and cost effective manner, in line with Legal and Governance function objectives and budget.
* Partner with the deal teams across platforms and sectors and manage all legal aspects of a deal from pre-contract risk assessment to deal structuring and execution to ensure legal implications are assessed, managed and mitigated, ensure alignment to the business objectives, and protect the corporate interests.
* Lead complex negotiations with potential partners and key industry players in order to effectively represent the Company's interests from a legal perspective and resolve complex issues and matters.
* Manage the development and updating of standard terms of business and standard form precedents to ensure consistent use across the organisation.

Requirements

* Bachelor degree in Law and licensed to practice law in the UK, US or analogous jurisdiction.
* MBA from a top-tier internationally recognised higher education institution preferred.
* 15+ years' related commercial law experience, preferably at a top- tier law firm and in-house, a minimum of 5 of which should be in the UAE.
* Arabic language skills strongly preferred.
* Legal knowledge and experience in a range of areas such as general corporate / commercial, projects and project finance, mergers and acquisitions, and other relevant practice areas.
* Supplementary background in Economics, Commerce, or Business.
