Legal Counsel - DIFC based Investment Advisory Firm

Our client is a highly respected Investments Advisory Firm based in Dubai International Financial Center. They partner with entrepreneurs to build and grow sustainable businesses leveraging their expertise and the support of their shareholders.

Our client focuses on Private Investments Advisory and Asset Management within the following areas:
- Telecom Infrastructure
- Energy & Industrial
- Real Estate
- Healthcare
- Logistics
- Retail & Hospitality
- Education

Our client seeks a Legal Counsel for a newly created in-house position.

The firm partners with entrepreneurs to build and grow sustainable businesses wherein expertise and support of our shareholders can be leveraged. The firm is responsible for a number of new ventures, has significant and growing assets under management across different businesses (private investment, asset/wealth management) and is looking to strengthen its platform.

The ideal candidate
- He or she will be a key pillar of that platform and someone that can grow with the business for years to come.
- He or she will be an authority on legal matters and an excellent communicator that can confidently advise on C-suit and Board level.
- He or she will be the gatekeeper on the legal process and thereby set the tone for the legal and compliance culture in the company.
- He or she will have impeccable sense of integrity and not just ask whether something is legal, but whether something is right.
- He or she will be a person that has business acumen, leadership skills and substantial degree of character.
- He or she will be go beyond pure legal view and connect with the businesses to identify and preempt potential problems early on.
- He or she is a person who is hands-on person, a problem solver with a natural ability to create structure out of chaos and who doesn’t shy away from doing a good doses of crisp drafting if required to get it right.
- He or she can be send out with a mandate and negotiate closing of a deal.

Work tasks will go from the very big to tiny small assignments. Below is a flavor of things that can land on the plate of the legal counsel.
- Draft and/or negotiate shareholder agreements
- Draft and/or negotiate (convertible) loan agreements
- Draft and/or negotiate NDA’s placement or any other legal agreements
- Create tax optimized fiscally compliant investment structures
- Contribute to PPM and other investment material production
- Monitor corporate documentation compliance with agreements
- Manage deal closing process to secure conditions precedent, warranties, guarantees and pledges
- Assist in M&A deal transaction structuring

Requirements

- BS degree in Law or J.D. degree
- At least 7 years PQE but preferably more
- A number of years of legal counseling experience in business environment
- In-depth understanding of how legal issues affect organisations
- Ability to develop legal strategy and objectives
