Employment: Full Time

As Legal Counsel and a member of the Middle East & Africa Legal team, reporting to the Senior Legal Counsel, ME&A, you will provide legal support in the following areas: 1) negotiation of commercial contracts, with clients, partners, suppliers and other third parties; 2) management of the resolution of disputes, through formal legal proceedings where necessary, utilising the support of external counsel as appropriate; and 3) corporate transactions including acquisitions, divestments and joint ventures. You may also from time to time be required to support company secretarial activities in the region.

Responsibilities

- Prepare, negotiate and revise contracts and other relevant legal documentation
- Provide legal advice and contribute to analyses of commercial issues
- Participate in the negotiations between the SNC-Lavalin entities and its clients, partners and other third parties
- Participate in the structuring, drafting, negotiation and implementation of corporate transactions including acquisitions, divestitures and joint ventures
- Participate in the preparation of the legal documentation related to the day to day management of the various operating entities
- Interpret laws, decrees and any other documents of a legal nature, ensuring that the interests of the Company are adequately protected
- Provide legal advice and contribute to analyses relating to the corporate and commercial transactions
- Provide legal advice and contribute to analyses relating to dispute resolution
- Provide legal advice and contribute to analyses relating to corporate governance issues
- Work closely with internal clients in order to maximize negotiations and minimize corporate risk
- Instruct and manage external counsel, in accordance with applicable group procedures

Requirements

- Minimum 4 years relevant experience
- Member of a Bar Association or equivalent professional body for solicitors/barristers or attorneys for at least 4 years;
- Preferably currently located in the MEA region(the location of the role is flexible within the region between the UAE and KSA, at the candidate's choice);
- Relevant experience in commercial law;
- English is a requisite and bilingualism (English / French) is an asset;
- Availability for occasional trips within and outside the region
- Demonstrated ability to work in a team environment, in a multidisciplinary work environment
- Developed business sense
- Methodical and detail oriented
- A collaborative, good communicator with a practical, flexible and dynamic approach
