Job description / Role

Employment: Full Time

The Special Projects (Acquisition & New geographies) Manager is responsible for managing Air Liquide acquisition opportunities and the consequent integration when necessary, along with Corporate and Entity support. He/She plays an integral role in Air Liquide strategy development and business footprint to new markets in new countries.

- Manages approach of targets, strategy validation and preliminary investigation . Analyzes financial statements of the targets, identifies the synergies that can be created with the other Air Liquide entities and determines the Enterprise Value with and without the synergies.
- Develops and presents proposed projects for approval at Zone Project Reviews and Resource Investment Committees.
- Leads the Due-Diligence process and works closely with legal, finance and operation teams during the whole process.
- Understands deal rationale and assesses integration risks (key issues / key assets / integration challenges).
- Prepares and presents well-developed non binding offers that meet seller expectations and Air Liquide’s business objectives
- Focuses on conducting a thorough investigation into the reputation and business practices of all target companies and all potential partners, to incorporate appropriate warranties in acquisition contractual documents and to avoid deal structures founded on inappropriate schemes.
- Drafts the Assets or Shares Purchase Agreements (APA, SPA) and leads the negotiations with the Sellers through closing in a highly proficient manner. Finalises negotiation phase and contractual agreement with support from Regional team (Management, Legal, Finance).
- Establishes integration Management process, Defines Functional Needs, Elaborates Project Cadence as per Group process.
- Elaborates Integration plans,Estimates high level costs and timeframe, details synergies and Initiates the Integration process.
- Is the main contact for Company's owner / partner on the negociation phase.
- Assesses Merchant markets in new geographies and defines AL strategies to enter new territories in line with the region / zone ambitions. Performs review on business opportunities, markets, competition in territories without AL entity set-up.
- Develops new business opportunities either through the creation of AL entity or set-up of Export schemes

Requirements

- MSc and/or MBA in Engineering / Business
- Fluent in English & Farsi
