Job description / Role

Employment: Full Time

Responsibilities:
• Responsible for overall management of the corporate contracting policy, as well as overseeing the administration of all customer, subcontractor, vendor and strategic partner contracts
• Work with the CFO to serve as the Corporate Risk Officer to identify and mitigate risks to the business
• Develop solid working relationships with senior operations and sales staff
• Develop and maintain strong respect for your advice and guidance related to contractual rights and obligations, as well as interpretation of terms and conditions
• Review, evaluate and negotiate terms and conditions of Requests for Proposals, Requests for Quotations, vendor contracts, and contracts with Federal, State and Local customers, to ensure compliance with the FAR and other applicable laws and regulations
• Demonstrate knowledge of, and the ability to, interpret and apply understanding of the FAR, statutes and U.S. Government regulations in managing agreements and contracts, including but not limited to, GSA Schedules, NASA SEWP V and other large GWACs
• Prepare and/or review representations and certifications, non-disclosure agreements, teaming agreements, consultant and subcontractor arrangements
• Maintain Corporate online registrations (SAM.gov) and related databases
• Manage outside counsel relationships
• Evaluate Organizational Conflict of Interest (OCI) issues and prepare mitigation strategies as necessary
• Remain current with government contracts and procurement legislation, and identify relevant trends or changes that will impact the business
• Review proposals with experience, knowledge and understanding of how those documents are assessed and evaluated
• Serve as Corporate Secretary and document appropriate corporate governance functions
• Proactively provide regular business updates to the CFO on contractual issues including upcoming contract expirations/renewals
• Apply creativity to FAR regulations and agency specific requirements to place Govplace in a competitive advantage for identified opportunities
• Effectively communicate to Govplace’s internal customers to not only present perspective, but also to ensure messages are received with the intended interpretation
• Develop solid working relationships with senior operations and sales staff
• Develop and maintain strong respect for your advice and guidance related to contractual rights and obligations, as well as interpretation of terms and conditions
• Serve as the Corporate Ethics Officer
• Serve as the Corporate Facilities Security Officer (FSO)
• Act as a thought leader in the field of government IT procurement
• Challenge status-quo while respecting the intent of the regulations

Requirements

• Juris Doctor from an accredited law school/university
• Current ACTIVE Top Secret security clearance
• Previous experience working for, or with a VAR (Value Added Re-seller)
• Corporate FSO experience
• Experience working in a dynamic, high-growth, small company environment
• The ability to be flexible and wear multiple hats
• Proven contract negotiation skills
• A knack for creative strategic planning and implementation
• Excellent communication skills and sound judgment
• Ability to identify issues/gaps and effectively develop solutions
• Experience leading a team with a tactful, flexible and participative management style
• Strong organizational, analytical and management skills
• Detailed knowledge of the government contract administration processes including subcontract flow downs, change management, inspection, acceptance, payment, warranty, close-out and records retention
• Detailed knowledge and thorough understanding of proper contract draft, negotiation and use of contracts, subcontracts, teaming and other forms of agreements
• Strong knowledge of compliance with relevant laws, regulations, terms, conditions and policies governing assigned contracts, including FAR, DFAR's and commercial item contracting (FAR Part 12)
• Comprehensive working knowledge of the procurement processes of the U.S. Government (mostly civilian agencies) and higher tier contractor acquisition processes
• Comprehensive working knowledge of the procurement processes of the U.S. Government
• Bachelor’s degree is required with at least 10 years of related experience in US government contracts administration
• The ability to obtain and maintain a Top Secret security clearance
