Manager - Carve-out/Merger Integration Advisory - Amman

Our Transaction Advisory Services (TAS) team works with clients to manage their capital agenda to drive competitive advantage and increased returns. As part of a global team of 10,000 professionals in 100 countries you will advise clients on preserving, optimizing, raising or investing capital. Major groups (or, as we call them, sub-service lines and competencies) within TAS include Mergers and Acquisition Services, Project Finance, Restructuring Services, Operational Transaction Services, Transaction Support, Corporate Finance Strategy, Transaction Tax, and Valuation and Business Modelling.

Join our Operational Transaction Services team and provide clients a full range of hands-on, operationally focused support and advice across the transaction life cycle, supporting both buyers and sellers. We cover a wide range of operational aspects of a transaction, including carve-out readiness and support, operational due diligence and restructuring, synergy assessment and delivery, day-one readiness assessment and post-merger integration planning and delivery support.

The role:
• Demonstrate an understanding of specific functional risks and challenges in one or two functional areas
• Recommend strategies to mitigate transaction planning and execution risk and opportunities to improve operations and extract value
• Demonstrate an understanding of the interdependencies between functions.
• Develop presentations or articles that capture lessons learned about specific functions, and shares knowledge across the practice
• Develop an understanding of the practices and risks related to multiple functional areas
• Keep abreast of trends and leading practices in a particular functional area to apply in client engagements
• Challenge the engagement scope and specific procedures and suggest modifications that will address the client’s needs and concerns better
• Identify issues, understand root cause and advise clients with pragmatic solutions
• Assess value creation strategies and synergies
• Assess and provide productive suggestions to prepare for operational integration/carve-out and improve readiness to execute the transaction
• Recommend services, costing and pricing to be included in the Transaction Service Agreement (TSAs) including services required to be duplicated (buy vs. build)
• Advise the client throughout the transaction process, specifically on chartering, detailed transition planning, synergy capture, functional integration/carve-out, measuring monitoring, communication and other (supply chain, back office shared services)
• Analyze underlying assumptions to build synergy, cost (stand-alone, continuing and one-time estimates)
• Prepare clear, compelling work products summarizing our recommendations to the client
• Develop knowledge and substantial experience in relevant industry sectors
• Build broad and deep internal and external networks and spot firm- wide sales opportunities
• Manage and build high performing teams and deliver exceptional client service

Requirements

• Strong track record in management consulting from a recognised consulting firm and/or big 4
• Transaction experience and strong technical skills in relevant areas such as pre-deal transaction support, commercial and operational due diligence, synergy identification and assessment, post - merger integration or carve-out support and benefits realisation
• Business development and client management skills
• Ability to adapt to a constantly changing and growing business environment
