Job description / Role

Employment: Full Time

Our client is an International company established in Kuwait for the past 20 years.

They are currently looking to hire a Head of Legal.

Duties & Responsibilities:
The Head of Legal Department is responsible for providing professional legal counsel to the group management on all legal matters. He prepares templates and framework for negotiations from a legal perspective. i.e. contracts, deals, mergers and acquisitions. He heads and coaches the legal team members.

Leadership
• Provide leadership and ensure efficient and effective management of staff and resources in the Legal department.
• Develops procedures for managing issues, train and assist support staff in their implementation.

Legal Duties
• Review and provide legal advice on contract management and assess legal implications.
• Review on-going cases.
• Liaise with relevant departments to ensure that where legal risks have been identified and appropriate action.
• Interpret legal information on various matters.
• Review internal policies and procedures.
• Review and draft contracts, agreements and ensure that they comply with all statutory requirements.
• Periodic legal circulars to the company's staff regarding legal implications
• Partner with subsidiaries to identify legal risks or issues that may arise from investment in other markets
• Keep abreast of all laws related to our business for various markets.

Litigation
• Securing evidence and documentation relating to complex legal issues.
• Laying the groundwork for the lawsuits and gathering base information
• Conducting and analysing results of legal research and applies to current cases and issues.
• Performing investigatory functions like finding clues regarding the case, interviewing witnesses and collecting other evidence.
• Represent the company in front of the governmental authorities or ministries if required.
• Review progress of outstanding litigation and liaise with and manage external lawyers.
• Negotiate and provide solutions to any potential dispute.

Board Secretary Duties:
• Continuously monitor the implementation of the Corporate Governance rules and advise management accordingly.
• Responsible for the company's AGM, EGM and bard meetings.
• Invitations to Board Members.
• Attending the meeting, register the minutes and insure the validity of the legal quorum.
• Authenticate the board minutes by the regulator.
• Amending & issuing the company's gazettes if required.

Requirements

• Bachelor's degree in Law is required
• Master's degree is preferred
• 10+ years of relevant experience
• Excellent communications skills in English and Arabic
• Previous experience in the Kuwaiti Market
