Head of Legal - DIFC
Retail, private banking and wealth management lawyer

• Ensure to provide appropriate legal advice, training, risk assessment, monitoring and decisions on Retail Business related matters.
• Promote the culture and practice of compliance with legal standards (including conducting business within legal and regulatory requirements, and to high ethical standards) within the Bank.
• Provide input at business, function, country and individual level as appropriate, on legal matters which should have a bearing on remuneration pools or individual bonuses (for senior staff) as required.
• Drive the migration of best practice and lessons learned across the network especially in relation to legal/regulatory risks and compliance with relevant regulations and internal policies/procedures for Retail Business.
• To implement Regional standards and initiatives for legal matters in relation to the Retail Business.
• To support Retail Business and drive operational efficiencies/ improvements.
• Ensure the template documents for Retail Business are fit for purposes and promote standardization across the region.
• Within the Group's overall Risk Management Framework, establish and maintain appropriate risk based legal frameworks for identifying, assessing, managing, monitoring, mitigating and reporting legal risks across Retail Business in the Region.
• Act as Risk Control Owner under the Group's Risk Management Framework for Retail Business processes where Legal is the first or second line Risk Control Owner.
• Raise (for approval by the relevant Committee) and implement appropriate legal policies and procedures within the Region.
• Assist in establishing and maintaining effective processes (including training, advice and support) to ensure that policies, procedures and standards to address legal are effectively implemented across Retail Business in the Region.
• Ensure that policies, procedures and standards to address legal risks are effectively implemented across Retail Business throughout the Region via early socialization with stakeholders in procedure design/parameters, ratification by appropriate committees, and ensure corresponding appropriate communication and training across footprint.
• Ensure effective management of legal matters across Retail Business.
• Provide reports to relevant Group and Business risk and control committees and management group on key legal risks and issues.
• Represent Legal in the governance of Retail Business by ensuring that any papers being tabled at relevant Committees have been reviewed and clearly articulates legal risk issues and mitigants and approved (as appropriate).
• Ensure close coordination with Group Dispute Resolution Team/GSAM for input into litigation cases.

REQUIREMENTS

• Where external counsel is appointed, liaise with external counsel and ensure the scope of work is defined and appropriate, oversee the quality of work and manage external legal costs, and ensure appropriate overall matter management.
• Provide legal support and guidance on litigation/ issues/ transactions and associated documentation.
• Act as an interface with various businesses on the design and structure of new products and systems, ensuring that documentation meet standard.

• Liaise with local/ regional Legal and Compliance staff on cases/ issues/ transactions.
• Track new laws and provide advice to enhance banking operations, including advice on new legal and corporate structures as they develop in the market.
• Ensure that appropriate training programs are developed and delivered to business from time to time to enhance legal awareness of banking and finance laws common to the Country.
• Monitor external legal spend for businesses and report thereon.
• Assist in preparing the LRMI (Legal Risk Management Information) for Group where needed.
• To be a contact for all other legal issues arising in the Retail business and Wealth Management, particularly the lending and transaction banking businesses when needed.
• To assist the Retail business and Wealth Management in procuring that appropriate forms of legal documents are used for dealings with third parties which contain adequate protections and remedies to address credit and event risk, and to help determine that transactions with third parties are valid and enforceable under the laws of all relevant jurisdictions.
• Engage business in the region and monitor business growth in MENA .
• To assist in the negotiation and completion of contractual documentation with customers and counterparties.
