JOB DESCRIPTION / ROLE

Employment: Full Time

We are looking for a Board Secretary to perform a variety of administrative tasks and support our company’s senior-level managers and board of directors. Board Secretary's responsibilities include managing calendars, making travel arrangements and preparing expense reports. To be successful in this role, one should be well-organized, have great time management skills and be able to act without guidance. Ultimately, the selected resource will contribute to the efficiency of our business by providing personalized and timely support to executive members and board members.

RESPONSIBIBILITIES

• Act as the point of contact among executives, board of directors, and other external partners.
• Takes on all the administrative duties of board management to ensure each meeting is smooth and productive.
• Manage information flow in a timely and accurate manner.
• Manage executives and the board calendars and set up meetings.
• Responsible for documenting meetings and preparing minutes of meeting of the board and executive members.
• Ensure that all reports submitted to the board or prepare by the board have been retained, including but not limited to quarterly and annual reports.
• Ensure that board members comply and commit to the procedures, board charter, and governance policies that are approved by the board.
• Manage the disclosure register of the board and executive management as per the disclosure requirements stipulated in the board charter, Companies law, and their implementing regulations.
• Make travel and accommodation arrangements for the board.
• Oversee the performance of other clerical staff under the secretary unit.
• Format information for internal and external communication – memos, emails, presentations, reports.

REQUIREMENTS

• Bachelor degree in Business Administration AND Masters is preferred.
• Work experience as Board Secretary or similar role for no less than 7 years.
• Excellent MS Office knowledge.
• Outstanding organizational and time management skills.
• Familiarity with office gadgets and applications (e.g. e-calendars and copy machines).
• Excellent verbal and written communications skills.
• Discretion and confidentiality.
