JOB DESCRIPTION / ROLE

Employment: Full Time

Legal Strategy and Leadership:
• Develop and implement the company’s legal strategy aligned with its business objectives.
• Lead, manage, and mentor the legal team to ensure efficient operation and professional development.
• Advise senior management and the board of directors on legal matters affecting the business.
• Provide counsel on corporate governance, risk management, and compliance issues.

Contract Management:
• Oversee the drafting, negotiation, and review of contracts, including client agreements, vendor contracts, and internal policies.
• Ensure that all contracts are legally sound and protect the company’s interests.

Litigation and Dispute Resolution:
• Manage and oversee any ongoing or potential litigation, working with external counsel when necessary.
• Develop strategies to handle legal disputes and resolve issues through negotiation, arbitration, or litigation.

Regulatory Compliance:
• Ensure the company adheres to all local, national, and international laws, regulations, and industry standards.
• Monitor changes in laws and regulations that may affect the business, providing guidance to the leadership team.
• Ensure compliance with corporate governance, health and safety, and environmental laws.

Risk Management:
• Identify legal risks and advise the company on how to mitigate them.
• Develop and maintain risk management policies and procedures.
• Provide advice on insurance coverage and claims management.

Corporate Governance:
• Advise on board governance matters, ensuring compliance with internal policies and regulations.
• Oversee corporate filings, shareholder communications, and other governance-related tasks.

Mergers, Acquisitions, and Investments:
• Lead or support the legal aspects of corporate transactions, including mergers, acquisitions, and joint ventures.
• Provide legal due diligence for corporate deals, ensuring all transactions are legally sound.

Intellectual Property (IP):
• Oversee the protection of the company’s intellectual property, including patents, trademarks, copyrights, and trade secrets.
• Develop strategies to defend the company’s IP and prevent infringement.

Employment Law:
• Advise on employee relations issues, employment policies, and labor laws.
• Ensure compliance with employment-related regulations, such as equal employment opportunities, compensation, and workplace safety.

Requirements:
Education:
• Juris Doctor (JD) or equivalent legal qualification from an accredited law school.
• Admission to the bar (in the relevant jurisdiction).

Experience:
• 15+ years of experience as a practicing lawyer, with significant experience in a leadership or managerial role.
• Experience in corporate law, regulatory compliance, contract negotiation, and risk management.
• Strong experience in managing legal teams or departments.

Key Skills:
• Excellent written and verbal communication skills.
• Strong negotiation and drafting skills, particularly for complex agreements.
• Sound judgment and the ability to provide clear, practical legal advice.
• Leadership and team management abilities.
• High level of integrity and confidentiality.
