Overview

ADNOC Global Trading Ltd. (AGT) seeks a Governance Officer to join its Legal, Governance & Compliance function. The role is based in AGT's head office, located in the Abu Dhabi Global Market (ADGM), Abu Dhabi's international financial centre.

This is a unique opportunity to join a fast-growing international oil trading company and to be part of its long-term future success.

AGT commenced commercial operations in December 2020. It is owned by ADNOC (65%), Eni (20%) and OMV (15%) and has ambitious plans for global growth. AGT has trading subsidiaries in Singapore and Geneva, a services subsidiary in the Netherlands, and additional geographical expansion is anticipated.

AGT's business is focused on the physical trading of refined oil products, LPG, biofuels, condensate and other liquid feedstocks, risk management, shipping and chartering, storage and management of inventories, the trading of oil-related derivatives and other ancillary activities.

Responsibilities

The Governance Officer will report to the Governance Manager, advising and assisting with various governance matters throughout AGT and its overseas subsidiaries (together the AGT Group) by delivering a best-in-class company secretarial service.

The responsibilities of the Governance Officer will include but are not limited to:

  • Attend Board and Board committee meetings and prepare draft minutes, resolutions and necessary communications.
  • Maintain records of Board and Board Committee meetings including minutes, presentations, reports, decisions and resolutions.
  • Handle correspondence and other tasks related to Board and Board Committee meetings.
  • Draft written resolutions of the Board and Shareholders and related correspondence.
  • Maintain registers and records such as register of directors, beneficial owners for AGT Group.
  • Work toward automation of various aspects of the Company Secretarial responsibilities including supporting roll out of electronic systems for meeting management/entity governance.
  • Stay updated on changes in regulations and ensure relevant stakeholders are informed of the changes.
  • Prepare and submit required documentation and filings with regulatory authorities.
  • Assist with delegations of authority, policies and procedures and other corporate projects of AGT Group.
  • Organise filing systems for relevant documents and support retrieval of requested information/documents on a timely basis.
  • Respond to various information requests from the stakeholders which include handling of sensitive and confidential information.

The Governance Officer will be expected to:

  • Demonstrate strong drafting skills specifically related to the company secretarial role such as minutes, resolutions and related communications.
  • Show effective planning and organizing skills to prioritize key areas of responsibility, tasks and projects.
  • Possess strong communication skills, capable of dealing with a wide range of people.
  • Be meticulous, detail-oriented, rigorous in approach but also practical and commercially focused to provide timely support.
  • Display a team-oriented, positive and collaborative personality.

Ideal Candidate Profile

Qualifications, experience, knowledge & skills:

  • Strong expertise and experience gained through previous role(s) with leading organization(s) in governance, corporate secretarial services and company law.
  • Professional qualification from a reputed governance institute such as CGI, ICSI, MAICSA, CSIS.
  • Bachelor's degree in law would be a significant advantage.
  • Excellent English language skills (written and spoken).
  • Well versed with MS Office Suite and preferably some experience with Diligent or similar Board tool.
