• Developing annually a risk-based internal audit plan for Audit Committee review and approval.
• Periodically adjust the plan as needed in response to changes in the Company’s business risks, operations, programs, systems and controls and keep the Audit Committee and Executive Management informed of any changes needed to the internal audit plan.
• Building and training Internal Audit team.
• Ensuring methodical documentation of work plans, testing results, conclusions and recommendations. Ensure follow up on findings and corrective actions.
• Coordinating and assisting with the preparation of Audit Committee materials. Participate in quarterly or more frequent Audit Committee meetings.
• Assess the design and effectiveness of internal controls and compliance with corporate policies and procedures, including assessing the reliability.
• Reviewing and testing the control environment to Identify cases of detected failure or weakness in the auditing system or unforeseen emergency circumstances that have or may have a material impact on the financial performance, safeguarding of company assets, compliance with applicable laws and regulations, and the efficiency and effectiveness of company operations.
• Investigating and reporting to the Audit Committee on activities reported through the Company’s Hotline/Whistleblower processes and assist in investigations.
• Verifying all transactions, whether they are made with a related party or involve conflicts of interest or not and verify compliance with the procedures governing such transactions.
