JOB DESCRIPTION / ROLE

Employment: Full Time

Job Purpose:

• To handle the different aspects of the MAFP corporate legal work and asset base in a manner that accommodates both the legal integrity and compliance aspect of the Majid Al Futtaim Properties structure, together with the evolving and expanding needs of the Majid Al Futtaim Properties business activities.

• Responsible of providing integrated and cost effective services to Majid Al Futtaim Properties and its subsidiaries and branches with respect to their corporate, statutory and procedural legal matters.

• Periodically reporting on all corporate affairs matters to the Senior Legal Counsel – Corporate and where relevant to the General Counsel as well as to the relevant units/companies of Majid Al Futtaim Properties.

• To liaise with Majid Al Futtaim Properties internal clients, i.e. different Departments with regard to issuance of documents pertaining to corporate legal work.

REQUIREMENTS

Key Tasks:

1) Incorporation of new companies and entities, including joint-venture companies, of Majid Al Futtaim Properties and subsidiaries.

2) Drafting and preparation in bilingual English/Arabic form of all corporate documentation required for compliance with the companies law requirements in the various jurisdictions of Majid Al Futtaim Properties operations, including inter alia Memorandum and Articles of Association, Annual, Ordinary and Extraordinary General Assembly Meetings, Shareholders Resolutions, Share Sale Agreements, distribution of dividends, appointments of statutory managers, Sale of Premises Agreement, Authorizations, Nominations Letters …… etc. required for (i) alteration of status of the existing entities which include modifying the capital, the board of directors, the shareholding structure, merger of entities, replacement of shareholders, alteration of companies objects … etc. (ii) registering and renewal of all business licenses across the Majid Al Futtaim Properties group, and implementing the changes in management and signatories, and all formalities related to shareholdings.

3) Providing company secretarial formalities, including drafting minutes of General Assemblies, Board/ Managers Meetings of various Majid Al Futtaim Properties group companies required internally and/or by the authorities in the various jurisdictions where the group operates.

4) Supervise the registration and renewal of all the business brands (trademarks/trade names, service marks) for Majid Al Futtaim Properties and its subsidiaries in MENA, Indian Sub-Continent and CIS regions and any other regions/countries as may be required, and liaise as required with IP Agents and external law firms, as well as supervising the process of Commercial Registration renewals of Majid Al Futtaim Properties and subsidiaries.

5) Review and draft all the relevant necessary legal administrative and financial documents required to be submitted to the Governmental Authorities to obtain registration, licenses, approvals, and completing incorporation formalities, legal/administrative procedures for new companies/ branches and obtaining annual renewal of all licenses and registrations.

6) Drafting required documents and monitor the preparation and authentication of all legal instruments before the relevant government authorities, such as Powers of Attorney, Agendas, Minutes of Board Meetings, General Assemblies, Board Resolutions and all related documents required for different purposes for Majid Al Futtaim Properties and its subsidiaries within and outside the UAE.

7) Monitor and update corporate books and records of MAFP and its subsidiaries.

8) Liaise with outside Counsel appointed locally or overseas for matters relating to the formation of new companies and relating corporate affairs, which includes preparing the required documents such as resolutions, articles of association, authorization, files, follow up on matters and updating the Group General Counsel on the position of each matter.

9) Handle Majid Al Futtaim Properties different contracts, by drafting, reviewing, amending, editing, creating new templates and issuance of the same. Such contract includes Inter Alia Supply of Services, Labor Contracts, I.T. and Technology.

10) Conduct research and prepare legal opinions concerning corporate legal work.

11) Advise internal clients of various legal matters related to Majid Al Futtaim Properties business with emphasis on corporate legal work.

12) Prepare and regularly update reports on the various corporate affairs matters.

Complexity:

1. Bilingual with excellent speaking and writing English and Arabic skills.
2. Degree in Law with not less than 3 years relevant post qualification experience.
3. Understanding of relevant Corporate, Fiscal and Economic Laws.
4. Knowledge of civil and commercial law.
5. Good drafting and documentation skills.
6. A sound understanding of the legal systems in which Majid Al Futtaim Properties group operates.
7. Able to reflect Majid Al Futtaim Properties issues and concerns in agreements and contracts with outside parties.
8. Good inter personal skills and a team player.
9. Ability to meet deadlines, work under pressure, and respond to changing priorities.
10. Able to work independently without supervision in matters which carry low to medium risk.
