Job description / Role

Employment: Full Time

The Role
• Proactively address legal needs of the Group of Companies, as they arise, in legally prudent, cost-effective, resourceful and timely manner in performing role add value to the Company.

Principal Responsibilities:
• Providing commercially sound, strategic, pragmatic and timely legal advice to senior management
• Assisting the Director Legal Services to drive good corporate governance within the business and participating in the definition and development of other corporate policies, procedures and programs
• Assisting the Director Legal Services to ensure the Companies' strict adherence to its compliance and ethical standards regime
• Assisting the Director Legal Services in anticipating, identifying, managing and proactively mitigating legal / legal-commercial risks across the Group whilst providing pertinent business-related legal advice to all in-house clients
• Reviewing, drafting and negotiating contracts with the Companies' partners, suppliers, clients, target investors and lenders (e.g. distribution agreements, franchise agreements, supply agreements, leasing agreements, loan agreements, securitization agreements, power purchase agreements etc.)
• Providing legal support in relation to all company law matters including the incorporation of companies, reviewing and/or drafting articles of association/by-laws as well as shareholder agreements and reviewing and/or drafting shareholder/board resolutions
• Providing legal support in relation to all intellectual property matters
• Providing legal support in relation to regulatory filings keeping abreast of legislative developments, advising the Companies in relation to the same and proposing appropriate measures to deal with such developments undertaking legal audits of the divisions / companies
• Selecting and managing external counsel
• Preparing and presenting legal / legal commercial seminars
• Undertaking other legal-related tasks for the business.

• Able to transform legal issues into workable solutions within a business context a good legal knowledge of the Saudi legal system (Sharia Law) litigation experience

• Must have excellent time-management skills
• Robust character who works well under pressure
• Enthusiastic, highly motivated and optimistic by nature
• Comfortable in working in a multi-cultural environment

Education:
• Bachelor's Degree in law or JD gained in a UK, European or US university and a professional qualification (solicitor, barrister, attorney at law, etc.)

Experience:
• 15+ years of experience
• Extensive commercial law and company law experience gained in a large law firm and/or in an international in-house legal department

Salary
• 85 - 100K AED per month
