Employment: Full Time

The General Counsel provides legal advice and services to the company with respect to the formulation, negotiation and execution of agreements and the management of legal risks; provides legal support to departments within the company on specific legal issues as requested; monitors and oversees external counsel activity; monitors regulatory changes and assess their impact on the company; and performs such other duties as may be assigned by the General Manager.

The candidate shall further provide legal advice and support on all aspects of the company’s mergers and acquisitions activity. This includes working to identify and assess acquisition opportunities, negotiating and drafting all relevant legal documentation, and advising on post-acquisition integration. The candidate will further be responsible for the compliance program for the company. This will include overseeing and managing compliance risks per the company’s general compliance policies & procedures, developing and maintaining local compliance policies and procedures, and training and monitoring employees as needed.

Key Responsibilities:
- Formulate, negotiate, and execute agreements on behalf of the company
- Provide legal advice to departments within the company on specific legal issues as requested
- Oversee external counsel activity
- Draft and negotiate all legal documentation relating to acquisitions, joint ventures and other transactions
- Provide legal advice and support on all aspects of the company’s mergers and acquisitions activity, including identifying and assessing acquisition opportunities, negotiating and drafting all relevant legal documentation, and advising on post-acquisition integration
- Develop and execute the compliance program for the company, including overseeing and managing compliance risks per the company’s general compliance policies & procedures, developing and maintaining local compliance policies and procedures, and training and monitoring employees
- Monitor regulatory changes and assess their impact on the company

Requirements

Qualifications:
- J.D. from an accredited law school.
- Admitted to practice law in the state/country in which the company is located
- Strong knowledge of applicable laws and regulations
- Strong analytical and research skills
- Excellent drafting and communication skills
- Proven experience working with senior management
- At least 7 years of experience practicing law in a corporate or similar setting
- Fluent English
