Employment: Full Time

Legal Advisor - Dammam, Saudi Arabia

A corporate secretary performs tasks such as scheduling meetings, taking minutes, providing other secretarial support, and coordinating all legal matters.

Main duties and responsibilities:
- Manage annual shareholders' meetings.
- Conducting an annual strategic planning session and preparing informational meeting packets for the directors at least one week ahead of a meeting.
- Developing meeting schedules up to one year in advance and make sure that adequate time is allotted for these meetings.
- Manage all aspects of board of director and committee meetings, including everything from developing an agenda to arranging meeting logistics.
- Ensure a board of directors has the proper advice and resources to fulfill their duties to shareholders according to the laws.
- Attend the meetings, ensure minutes are recorded, and ensure that they reflect the decisions of the board.
- Maintain important corporate documents and records, such as disclosure information, compliance with Saudi Arabia laws, and Exchange Commission reporting and compliance.
- Oversee stockholder relations and maintain records related to stockholder correspondence.
- Advise the board of directors on subjects such as its roles and responsibilities or subsidiary management and governance.
- Provide orientation, education and training to new directors, facilitate board evaluations and ensure succession planning.
- Look after and coordinate with company’s lawyer on all legal cases.
- Review all contracts to insure they are in line with the laws and regulations.

Requirements

- Bachelor degree in law or equivalent with 7 years minimum experience.
- Good organizational & communication skills.
- Fluent Arabic and English.
