Job description / Role

Employment: Full Time

Our client is a non-profit foundation established to discover, develop and empower Saudi youth to become active participants in the future economy. They specifically focuses on four key areas: education, creative and digital media, technology, and culture and arts.

To provide legal and strategic advice to manage the provision of legal and governance advisory in order to mitigate risks, resolve related problems and disputes, and provide ongoing legal assistance for business transactions, while consistently adhering to applicable laws and regulations as well as internal policies, and working to promote overall interest.

The responsibilities of the Counsel include, but are not limited to:

Budget
· Develops the Department’s budget in alignment to the annual business plan
· Manages the financial performance of the department against budgets so that areas of unsatisfactory results are identified and rectified promptly, and potential results improvement opportunities are capitalized upon

Legal Counsel
· Provides strategic advice to Leadership on legal implications of new and critical projects as well as partnerships in order to protect interests and minimizes its liabilities
· Oversees the provision of legal counsel to all entities in order to safeguard the Company’s interest, ensure compliance with all applicable local and / or global laws, rules and regulations, and minimizes liability and risk exposure
· Partners with the teams across to manage all legal aspects of agreements from pre-contract risk assessment to deal structuring and execution in order to ensure legal implications are assessed, managed and mitigated, ensures alignment to the business objectives, and protect the interests
· Leads complex negotiations with potential partners and key industry players in order to effectively represent interests from a legal perspective, and resolves complex issues and matters

Contracts and Agreements
· Manages the development and/or review of a wide range of complex agreements, contracts and other relevant documentation in order to ensure the protection of interests at large, and alignment with objectives and requirements
· Manages the development and updating of standard terms of business and standard form precedents to ensure consistent use across the organization

Legal Disputes
· Leads the resolution of all litigations or court proceedings where necessary in order to defend against any claim or legal action taken against it
· Leads the negotiation and settlement processes on behalf of, in order to avoid litigation, reach consensus and/ or achieve settlement in order to ensure that all legal issues are resolved in a timely manner, to the advantage and with minimal impact on the organization’s reputation and brand equity

Governance
· Influences the development and oversees the implementation of an effective and robust governance framework, appropriate to the size and character in order to promote high standards of accountability and integrity, which supports strategy and minimizes risk exposure
· Leads the identification and management of any governance breaches collaborates with relevant functions to ensure that the necessary internal controls are designed, the required corrective measured are implemented and the adequate awareness efforts are conducted

Legal Studies and Research
· Conducts the research, analysis and benchmarking for legal issues, including risk management practices, in order to ensure the establishment of legal processes in accordance with the best fitted global practices and world class standard
· Ensures to keep management informed of legislation, trends and other issues that might affect the company’s effectiveness, responsibility to stakeholders and vulnerability to risk and legal issues

Vendor Management
· Oversees the selection of vendors and service providers, at a local and global level, in order to ensure compliance with internal standards and processes, and provision of high quality and reliable legal services

Continuous Improvement
· Contributes to the identification of opportunities for continuous improvement of systems, processes and practices considering ‘international best practice’, improvement of business processes, cost reduction and productivity improvement

Policies, Processes & Procedures
· Recommends improvements to policies and directs the implementation of procedures and controls covering all areas of so that all relevant procedural/legislative requirements are fulfilled while delivering a quality, cost-effective output

Salary:
SAR 40,000 to 50,000 per month inclusive of fixed allowances.

Requirements

· You need to have a bachelors degree in Law Legal Studies with minimum 10 years’ experience in legal advisory for public or private sector
· Must have Knowledge of Saudi & International legal practices.
· Leadership, Strategic Thinking, Knowledge of Saudi & International legal practices, Stakeholder Management
