Employment: Full Time

The Legal Director – Transactions & Business Support is responsible for overseeing and managing legal aspects of corporate transactions, commercial agreements, and business operations. This role provides strategic legal advice to executives, ensures compliance with applicable laws and regulations, and mitigates legal risks in business transactions.

Key Responsibilities:

1. Corporate Transactions & M&A:
• Lead and manage legal aspects of mergers, acquisitions, joint ventures, and strategic partnerships.
• Draft, review, and negotiate transaction agreements, including share purchase agreements, asset purchase agreements, and shareholder agreements.
• Conduct due diligence, assess risks, and provide legal recommendations to leadership.
• Coordinate with external legal counsel and advisors as needed.

2. Commercial Contracts & Business Support:
• Draft, review, and negotiate commercial agreements, including supply contracts, service agreements, distribution agreements, and licensing deals.
• Advise business teams on contractual rights, obligations, and risks.
• Develop and implement contract management policies and procedures.

3. Compliance & Regulatory Affairs:
• Ensure compliance with corporate governance, competition laws, and regulatory requirements.
• Provide legal guidance on data protection, anti-corruption, and industry-specific regulations.
• Develop policies and training programs to promote legal compliance.

4. Risk Management & Dispute Resolution:
• Identify and mitigate legal risks related to business transactions and operations.
• Support dispute resolution, litigation, and arbitration matters.
• Liaise with internal and external stakeholders to resolve legal issues efficiently.

5. Leadership & Stakeholder Engagement:
• Collaborate with cross-functional teams, including finance, HR, and operations, to support business objectives.
• Advise senior management and board members on legal and regulatory matters.
• Manage external counsel relationships and legal budgets effectively.

Requirements:

Qualifications & Experience:
• Law degree (LL.B. or J.D.) and admission to a recognized bar association.
• 10+ years of experience in corporate law, M&A, and commercial transactions.
• Strong expertise in contract negotiation, corporate governance, and regulatory compliance.
• Experience in a multinational corporation or top-tier law firm is preferred.
• Excellent leadership, communication, and stakeholder management skills.
Arabic language and knowledge of Saudi / Saudi laws
