Job description / Role
* Conduct financial analysis of potential targets on behalf of the investment holding company incorporating due diligence findings of various other advisors and vendors
* Assist in the appointment of due diligence vendors legal, accounting, commercial, and potentially investment banks when/if required
* Act as a coordinator with all vendors in order to meet the overall timeline objectives to ensure that such advisors meet the company’s overall objectives from the transaction
* lead in building detailed operational and financial models of potential target.
* Lead the team in assessing the target’s current/projected figures and provide comparisons to other industry players and indicate whether such assumptions are reasonable.
* Lead in building detailed valuation analyses using all the relevant valuation metrics including DCF, public comparables, private and public market transaction comparables and potentially SOTP (managed care vs retail chain)
* Test various funding scenarios and the impact of which on the potential returns of the acquisition as well as the impact on the company. Suggest optimal funding structures and terms (tenor/covenants/cost/security structure)
* Impact on the company (pro forma analysis): detailed pro forma analysis on the short and long term impact on the company including EPS accretion/dilution, cashflow projections, leverage and liability profile
* Assist the legal advisor in the drafting deal documents
* Advising the company on optimal bid strategies and tactics
* Lead in preparing all offers, to be submitted by the company, including price, commercial terms and protective clauses like representations / warranties, caveats etc.
* Advise the company on optimal deal structures that achieve the company’s strategy
* Work with the company and other relevant advisors on the drafting of appropriate communications strategy with the market/investors in the event of announcement
* Work with the legal advisor in managing regulatory/disclosure requirements
Internal Work
* Oversee the PMO office and finance team in creation, maintenance of 5 year projections and overall group financial model
* Oversee the creation of financial models for potential acquisition targets
* Assist in developing relevant corporate presentations that can be used 1) in the context of acquisitions where shares are used or 2) in the context of interactions with investors
* Assist in the strategy development exercise particularly in relation to M&A strategy and how it is communicated to the market place
* Assist in developing the Investor relations and market communications strategy
Corporate Planning & Strategy
* Evaluate, analyze and recommend specific business opportunities for the profitable external growth and diversification of the company through merger, acquisition and divestures.
* Manage the activities of identifying investment opportunities that are in line with the company’s investment strategy and acquisition criteria through a variety of sources.
* Manage the activities related to determining the attractiveness of a sourced investment opportunity through:
* Conducting financial, operational and legal due diligence
* Conducting valuation study and determine a price range for potential investment
* Conducting feasibility studies
* Provide recommendations with regards to soundness of potential investments.
Business Development
* Manage the overall activities of acquiring or divesting assets in the portfolio. This includes:
* Preparing a selling / offering memorandum
* Contacting potential buyers or sellers
* Maintaining LOU and confidentiality agreements
* Negotiating terms of transaction and working with the hired Legal Firm to structure the deal
Market Research
* Analyze regional and global market research to spot and solicit opportunities.
* Perform periodical market research to support the development of company’s investment strategy though the identification of the most attractive investment opportunities.
* Manage and oversee the collection of data related to the industry in which the investment opportunity exists from various sources such as research agencies, internet, industry publications, market intelligence, etc…
* Manage the Analysis of collected data to identify regional / global trends related to an industry.
* Identify the most attractive regions and industries for investments in terms of profitability and growth.
* Oversee the Compilation and circulation of periodical market reports that highlight the most attractive investment opportunities for the company.
