Job description / Role

Our client is one of the leading Consumer Goods company in the world. The multinational giant is looking for a seasoned General Counsel to support the group in the Middle East and will be based in the UAE.

As General Counsel reporting to the Director of Legal, you are responsible for leading and supporting the Legal department to provide timely guidance and advice on all issues that requires legal service including commercial, contracts, governance and regulation, Intellectual property Right matters. The incumbent is also responsible for providing legal advice to the Management on all issues related to Intellectual Property Rights.

You will be self-driven, mature, confident, ability to handle assigned legal issues independently, ability to provide alternate solutions on time.

Job Description

Drafting and vetting of contracts and agreements:
- Vetting and scrutiny of all major corporate contracts, commercial agreements including lease contracts, tenancy agreements, know-how license agreements and trade mark user agreements.
- Limit exposure to risk and liability.

Legal counselling:
- Provide timely and appropriate legal advice and requisite legal support to all Business Units/entities across the client.
- Mergers & acquisitions: Drafting of Joint Venture Agreements, Share Purchase Agreements and other documents related to acquisitions to properly reflect the commercial aspects of the transaction and safeguard our client’s interest. Attending to related corporate and secretarial documentation.
- Coordination with external lawyers in conducting Legal Due Diligence.

- Issuance of legal notices, preparing summary of cases, pleadings and liaising with external lawyers to pursue litigation of all nature ranging from civil, criminal, labour, property, consumer, tort and trademark related for and against our client
- Corporate matters: Incorporation of Companies, establishment of Representative Offices / Branches across various countries.
- Handling secretarial work including drafting of board/shareholder meetings and resolutions, drafting of Memorandum and Articles of Association and applying for relevant licenses and regulatory approvals.

Legal research:
- Conducting legal research as and when required for extending effective and timely advice to the management or the business unit on any legal issue.
- Periodically update management on the amendments to the laws and regulations in GCC and North Africa Region and their impact on businesses.

Intellectual Property Rights:
- Protect intellectual property rights of our client in coordination with Group’s TM Attorney in India.
- Legal expenses: Ensuring effective cost reduction on Legal Service expenses through judicious mix of internal resources/external counsels.
- External counsels: Maintain effective relationship with external counsels.

- Multinational experience in FMCG industry is essential
- Degree in Law from reputed university. Preferably master’s in law.
- 15 Year’s Experience - 5 of which must be at a reputable Law Firm in the UAE
- Fluent Professional Proficiency in Arabic and English
