Employment: Full Time

Job Summary:
In-House Counsel candidate should be business-minded attorney who will play a key role in finding solutions, driving change, and developing thorough compliance procedures and policies that balance legal and commercial interests. You will have regular exposure to all areas of the business, including, but not limited to trading, shipping, investments, marketing, people, operations, compliance, finance and information security. You must be prepared to identify and handle all legal issues impacting the business.

Primary Job Function:

Legal Support:
• Draft, review, and negotiate vendor, customer and other complex commercial agreements, including but not limited to sales, shipment, procurement, investment, corporate services, labor, marketing, agreements, Shari'a agreement, etc.)
• Advise on a variety of legal issues, including legal risks and potential liabilities associated with local and international deals
• Anticipate, identify and mitigate legal issues that would impact the company
• Assist in formulating policies, procedures and training curriculum to assist in the company’s legal compliance
• Have an in-depth understanding of laws and regulations surrounding commercial operations and compliance in different industries, including data privacy, advertising, employment, safety, and contracts
• Act as primary point of contact on end to end business and legal compliance
• Liaise with government authorities, agents, advisors and other third parties on corporate services matters
• Be a self-starter without waiting for instruction
• Develop and document corporate policies and procedures
• Become well acquainted with internal stakeholders in all departments and work with them to achieve objectives
• Provide legal support for any compliance audits
• Provide and oversee company training and education for compliance policies and procedures
• Conduct legal research as necessary
• Provide legal support on matters related to government relations
• Provide assistance to the Senior Management as assigned. Assistance may include employment matters, leases, export issues, international law, intellectual property, and litigation management.
• Perform other duties as assigned.

Compliance:
• Monitoring the regulatory environment and ensuring compliance with the licenses obligations
• Develop and implement the compliance and risk procedures
• Monitoring changing regulations and ensuring ongoing compliance
• Maintaining and updating the compliance procedures manuals and procedures
• Oversee the client on-boarding process
• Coordinate the KYC procedures
• Prepare monthly compliance report to brief the Board on regulatory issues
• Developing and delivering compliance training for staff
• Advising staff on regulatory obligations
• Attending Compliance Risk & Audit Committee meetings
• Establishing and updating the AML Policies, Procedures, Systems and Controls

Requirements

Education:
• LLB Degree from a reputable international institution is a must
• LLM, JD is a big advantage

Experience:
• Minimum of 7 years of in-house legal and compliance experience post qualification
• Strong transactional experience drafting, commenting, negotiating customer, investment and vendor agreements with local and international counterparties, providing legal opinion on projects, new ventures, regulatory requirements for a rapidly growing company

• Ability to interface effectively and build relationships with counterparts and other departments internally
• Ability to handle a fast-paced environment, take ownership of projects and successfully meet established project deadline requirements
