Job description / Role

Employment: Full Time

Role and Responsibilities
• Prepare and proofread various commercial agreements and Legal documentation in track mode in English and preferably Arabic Languages.
• Assist Legal Team with the preparation of briefing letters, correspondences, meeting minutes, memos, shareholder and board resolutions, powers of Attorneys, etc.
• Monitor & coordinate the status of multiple corporate governance and legal risk monitoring matters and deadlines related to Legal across different companies within the Group.
• Proof Read drafted agreements for any format/typo errors, collate enclosures, annexes and ensure appropriate filing is made.
• Prepare monthly Legal reports as required in litigation legal risk management and work flow reports for the head office and international departments.
• Assist on setting up various types of companies by filling out various applications and Liaising with governmental authorities on various matters including company formation requirement and status of applications as applicable
• Assist Legal Counsels in company set-up and preparation of all documents required for corporate governance including but not limited to board resolutions, shareholders’ resolutions, partnership agreements, articles of associations, amendments to articles of associations, and forms related to incorporation of companies.
• Assist Legal Counsels in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of companies whether in freezones or Dubai mainland, as well as in the preparation for and closing of various corporate transactions, including mergers and acquisitions.
• Complete corporate forms for review and work on trade license renewals.
• Create and maintain corporate minute books/document logs.
• Draft audit letters for review and approval and distribute them to auditors and authorities.
• Gather litigation information as and when required.
• Maintain legal law library and assist in preparing Legal development reports and filing.
• Perform Legal research as and when requested.
• Maintain accurate corporate secretary database.
• Any additional tasks that may be required from time to time.

Salary:
AED 7,000 to 10,000 per month inclusive of fixed allowances.

Requirements

• Qualification in Laws / related programs.
• Bachelor Degree in Laws preferred.
• Must have 3 years or more experience in a paralegal role.
• Excellent knowledge of MS Word and Power Point.
• Location in UAE.
• Languages – Fluency in English writing and communication essential; Arabic skills preferred
