About Legal and Compliance

Mubadala's Legal & Governance division is responsible for all aspects of legal, regulatory, and governance matters across the Mubadala Group. By working closely with each Sector and Division, we protect and promote the best interests of the company by identifying and managing legal and regulatory risks affecting Mubadala, its assets and its investments

In close coordination with both the Divisions and Sectors, we engage at the outset of all projects and transactions; we draft and negotiate the documents relating to such projects and transactions and we play a critical role in monitoring and, where necessary, enforcing Mubadala's contractual and legal rights.

The Challenge

Provide corporate legal and governance support to the Mubadala Group, manage and administer Mubadala contracts and support the legal team.

Key Responsibilities

Building and Maintaining Relationships
- Get to know various personnel across the Mubadala Group and support the legal team in providing services to such personnel.
- Engage with Business Units, Corporate Units, and Subsidiaries, and respond to their queries.
- Engage with supervising members of the Legal & Governance Unit.

Operational Work
- Work alongside the Legal and Governance unit to manage the day-to-day corporate needs of the Business and Corporate Units as well as Subsidiaries.
- Have a working knowledge of the UAE Companies law.
- Manage and update the Company's Corporate Registry and perform monthly audits to ensure its accuracy.
- Organize and set up meetings and trainings.
- Understand Mubadala's DoA as well as governance policies and procedures.

Document Preparation

Legal
- Review contractual documents, carry out document comparisons and sanity checks (references, party names etc.) and coordinate the internal sign-off processes and execution.
- Manage and administer contractual deliverables/ requirements including: bonds/guarantees, insurance documents, contract change notices, etc.
- Assist with documentation regarding acquisitions and divestments of Mubadala companies (including, share transfer mechanics, updating share and corporate registries, liaising with applicable ministries, etc.).

Governance
- Draft powers of attorney and assist in obtaining notarizations, legalizations and apostilles.
- Draft memos regarding changes of directors on company boards.
- Draft meeting notices for annual general assemblies and extraordinary general assemblies.
- Draft minutes of board and shareholder meetings.
- Draft and amend organizational documents such as memoranda / articles of association.

General
- Participate in the development and rollout of standard legal templates.
- Prepare high quality materials, including PowerPoint presentations and excel spreadsheets.
- Assist Mubadala's legal team in connection with finance-related matters such as share pledges (including perfecting such pledges), and opening and closing bank accounts.

Legal Administration
- Work alongside Legal & Governance Unit members to attend to corporate matters, internal processes and procedures, risk management and governance protocols.

Qualifications

Knowledge, skills and experience

Knowledge and Experience
- Law degree or paralegal certification from a recognised law school/institution.
- 5+ years of experience with international law firm or equivalent experience.

Skills
- Strong interpersonal skills and ability to create and maintain good working relationships.
- Research and analytical skills.
- Fluent English (essential); Arabic (desirable).
- Ability to identify and analyze basic corporate legal issues.
- Demonstrates clear and concise verbal and written communication skills.
- Highly motivated and results oriented with good project management, data entry and reporting skills.
