Job description / Role

Employment: Full Time

The Role

Commercial

* Review and advise of business in regards to contracts and other commercial documents (including PoAs, MoUs, NOCs, POs, declarations, undertakings, etc) in various business fields (retail, construction, trading, distribution, projects);
* Drafting of agreements from the scratch in accordance to the requirements of the business taking into consideration the specific risks of each venture and the respective industries;
* Good knowledge of standard industry practises and legal form agreements in various industries (retail, construction, trading, distribution, projects) including but not limited to FIDIC, Incoterms, letter of credit, bank guarantees, tenancy standards of the different Emirates, IP licensing, banking facilities, consignment arrangement, warehousing, freight forwarding;
* Ability to provide pragmatic risk assessment of legal risk in the contacts;
* Ability to explain and train stakeholders in legal risks;
* Negotiation and dispute resolution with external parties.

Corporate

* Review and drafting of various corporate documents including but not limited to MoAs, AoAs, board and shareholder resolutions, share transfer agreements, PoAs, AGMs, EGMs;
* Good understanding of corporate governance with the ability to advise internal and external stakeholders on best practise and required compliance with laws, regulations and guidelines;
* Regular updates to changes in legal requirements for corporate documentation or corporate governance;
* Negotiations and discussions with involved authorities and regulators.

Team Management

* Management and training of team members of the commercial team;
* Management of enquiries and setting of priorities;
* Full responsibility for quality and timely completion of tasks to the commercial team;
* Ability to temporary take over responsibilities of Group Head Legal for leave periods;
* Good understanding of compliance and trademark matters.

Projects

* Active Management of projects taking the lead of complex undertakings, which include time critical ventures. This involves especially time management, coordinating of various involved people/teams, management of different responsibilities and authorities, ensuring quality of the outcome, keeping stakeholders informed on progress, managing changing requirements and ensuring the projects are executed to the fullest satisfaction of the top management;
* Good communication and presentation skills with the ability to argue and convince involved parties;
* Sensitivity for specific requirements of a family business;
* Crisis management skills;
* Handling of transactions including but not limited to: M&As, investments, divestments, restructurings.

Requirements

Candidate Requirements

* 5-10 years' experience in similar position
* Western educated
* Excellent Legal English skills with Arabic being a plus
* Ability to work completely independently with minimal support
* Ability to work methodically without compromising on quality under time pressure and stressful situations
* Good understanding of Middle Eastern business culture and mentality
