About Legal and Regulatory Affairs

The Legal & Regulatory Affairs Unit is responsible for all aspects of legal, regulatory, compliance and governance matters across Mubadala. By working closely with each Business and Corporate Unit, we protect and promote the best interests of the company by identifying and managing risks affecting Mubadala, its assets and its investments.

In close coordination with both the Business and Corporate Units, we engage at the outset of all projects and transactions; we draft and negotiate the documents relating to such projects and transactions and we play a critical role in monitoring and, where necessary, enforcing Mubadala's contractual and legal rights.

The Challenge

Become the Trusted Advisor for Legal, Compliance and Regulatory matters

Key Responsibilities

- Providing sound commercial legal and regulatory advice to the business functions, and its assets and subsidiaries, as required, ensuring compliance with the defined legal framework and protecting the company's legal interests.
- Partnering with transaction teams throughout the transaction execution process through conducting pre-contract risk assessment, transaction and project structuring and execution and post-completion management, ., to cater to the business function's needs and protect its interests at appropriate risk levels.
- Identifying and assessing legal, regulatory and commercial risks, and developing risk mitigation strategies to minimise exposure to uncontrolled risk.
- Providing advice on drafting contracts, and increasing awareness on application of laws and regulations to support in securing beneficial and commercially advantageous opportunities.
- Developing, reviewing and/or negotiating agreements, contracts and relevant legal documentation for the business function, its subsidiaries and assets, as applicable.
- Counselling the business function's management on the interpretation and application of contractual provisions to implement legal contracts.
- Ensuring compliance with all applicable local and/or global laws, rules and regulations.
- Attending internal and external meetings, as required, to discuss the legal and regulatory aspects of the business operations.

Requirements

Qualifications

- Law Degree with qualification to practice law ideally in USA, UK or UAE
- 4+ years' PQE either in house or in commercial law practice,
- Good understanding of the banking system and financial markets, UAE experience is a plus.
- Ideal profile would be a transactional lawyer, banking lawyer having trained and with experience at an international law firm, additional in-house experience is a plus.
- Ideal candidate should have experience in corporate finance (debt and capital markets), project finance, trade finance, derivatives, asset finance and/or regulatory finance.
- Exposure to M&A is a plus.
- Proven ability to negotiate and structure effective agreements and contracts
- Proven ability to advise and guide management teams on legal issues with an emphasis on helping the business grow and operate with managed risk and regulatory compliance.
