Job description / Role

Employment: Full Time

DUTIES & RESPONSIBILITIES:
- Preparing correspondence - letters, reports, legal papers and formatting of documents
- Researching and advising on legal queries
- Provide legal support for all operations in India and Bangladesh
- Keeping records of all transactional documents and relevant contracts for various transactions across the APAC region
- Liasing with agents, intermediaries and co-workers, reviewing and organizing documents and reports and preparing individual files for due diligence on all agents, distributors and third party intermediaries for purposes of FCPA compliance review.
- Drafting cover emails and letters and simple legal documents
- Maintain and update a central legal database for the APAC legal team
- Proof-reading, reviewing and drafting letters, contracts and legal documents
- Draft or review resolutions, waivers, minutes, approvals of action without meeting and related documents.
- Create and maintain corporate secretarial record including updating minute books, resolutions, corporate seal, stock certificates, etc for all India legal entities.
- Coordinate with the company-appointed corporate secretarial agent as necessary to ensure that all documents are properly filed, registered and updated.
- Prepare or liaise with company-appointed corporate secretarial agent for the preparation of necessary documentation for amendments, withdrawals, mergers and dissolutions of corporations or partnerships, etc.
- Organizing corporate secretarial files for each country, including keeping records of all constitutional documents and corporate authorities in respect of each entity within the APAC region
- Assist with litigation matters, co-ordinate and communicate instructions to external legal providers and internal co-workers
- Assist and coordinate with the conduct of legal training and provide support to the Regional Compliance Counsel
- Assist with merger and acquisition activities (if any)
- Establish, maintain and timely review of specific standard legal process/procedures.
- Legal research on specific regulations, new applicable laws related to Company' business.
- Provide legal advice on the contracting issues/provisions to the sales & marketing department and lead in business negotiations (legal issues) with internal as well as with external customers.
- Provide assistance to Logistic and Admin Department in legal issues relating to establishing and managing office, base and guest houses.
- Provide assistance to HR department on employment issues and labour laws.
- Attend the India management meetings including weekly meetings and if required board meetings

- Active participation in workshop safety & toolbox meetings
- Active participation and contribution to workshop specific safety initiatives
- Report all hazards and unsafe acts
- Ensure third party compliance
- Actively promote positive safety culture

Adhere to quality procedure and policies in accordance with the quality assurance system, including:
- Ensure equipment is fit for purpose
- Raise corrective actions for all non-conformances
- Comply with work instructions
- Identify areas requiring improvement and / or audit

Requirements

- Law Degree from a reputable university
- Be able to work independently and as part of a team
- Some travel within and/or outside India
- At least 4 years of post-qualified experience with a reputable law firm, local company or multi-national corporation
- Fluency in English
