Job description / Role

Employment: Full Time

• Leading Architecture studio in Dubai with International operations in Europe and Asia seek a Commercial Manager to join their team
• Assisting the senior management team with a wide range of corporate legal and commercial activities, including contracting and corporate governance.
• The role will be based in the UAE, which will be the primary focus, but will also be involved with projects across Europe & Asia as the business requires.

CORPORATE / RISK
• Manage and / or assist with company formations and liquidations.
• Ensure each entity is compliant with statutory filing and corporate record requirements in the relevant jurisdictions.
• Draft corporate documentation, such as board resolutions and POAs and assist with board governance.
• Involvement with share transitions (transfers, issuance and dividends).
• Develop, implement and monitor the companies risk register. Make recommendations and take steps to mitigate potential risks.
• Develop, implement and monitor internal governance procedures.
• Coordinate with external 3rd parties including agents, legal counsel and advisors.
• Support IP / trademark and licensing applications.
• Review and provide inputs in regards to insurance requirements, arranging for alteration / or additions of terms where applicable.
• Review and provide inputs in relation to relevant PI insurance and the impacts to specific projects.
• Develop and maintain a corporate ‘data room’.

CONTRACT / LEGAL SUPPORT
• Manage legal matters, including coordination with external counsel.
• Present strategic advice and recommendations to management.
• Review agreements, identify risk and present recommendations to management.
• Manage contractual negotiations with clients and/or other third parties.
• Edit clauses and draft basic agreements.
• Be aware of legislative changes and update management on changes which will affect the firm.
• Support IT, HR, marketing & finance with legal queries.
• Draft and finalise agreements for intercompany transactions.

COMMERCIAL
• Provide assistance, support and guidance on commercial issues within projects.
• Provide guidance to the proposals team on contractual and commercial issues.
• Support the sub-contracting process (LOAs) to ensure risk is sufficiently passed down to sub-consultants.
• Identify improvements to commercial procedures.
• Research and draft reports and make recommendations to senior management.

UBO PERSONAL REQUIREMENTS
• Manage and / or assist with personal legal matters.
• Manage and / or assist with the private wealth structure and compliance.
• Manage and / or assist with domicile status
• Manage and / or assist with property portfolio management.
• Coordinate with external counsel, advisors & agents.

Requirements

• Recent experience in a similar position.
• Reviewing and understanding contract terms, highlighting risks and making recommendations.
• Drafting simple legal documentation.
• Understanding of basic corporate structures and entities.
• Demonstrable experience in writing quality strategic reports or proposals.

DESIRABLE
• Experience within the architecture / engineering sector or construction industry.

ESSENTIAL
• Must be highly proficient in English and possess excellent business writing skills.
• Can communicate and present complex information clearly to the senior management team.
• Must be able to draft and structure succinct and informative reports to assist senior management with strategic decisions.
• Advanced skills in Microsoft Office Suite, including Word, Outlook, and Excel.
