Job description / Role

Employment: Full Time

The position requires a highly skilled, hands on legal professional (UK / western qualified with membership to a law society / the Bar) with corporate, commercial and transaction experience. Local real estate experience would be a bonus. Solid international private practice experience and 1-2 years experience in Dubai.

The role requires superior drafting ability and ability to convey negotiations of transactions into legal transaction documents. A team player that can work effectively to support the Head of Legal and the team on legal / transactional matters.

Requirements

• Good solid drafting experience of complex transactions, share sale / asset sale agreements, joint venture agreements, financing documents, transaction documents, heads of terms etc.
• Document Management – including heavy drafting, amendments, formatting, typing, editing, proof reading, track changing, working on multiple transaction documents and support Head of Legal in large corporate / transaction matters.
• Solid experience of working on corporate, company, commercial and transaction matters
• Experience of dealing with complex legal matters and on a wide range of matters
• Maintaining legal documents, precedent data base and ability to create and implement legal governance issues.
• Setting up DIFC and Offshore vehicles
• Supporting the CT team in structuring creative transaction structures that reflect the real estate JV deals from negotiation through to completion and post management
• Preparing presentations – both legal and transaction investor presentations with the team
• Right hand to the Head of Legal in all legal, corporate and commercial legal matters and affairs
• Support in all company incorporations, constitutional documents and ensure they are drafted in-line with the transaction.
• Assisting Head of CT in all transaction negotiations with capital and development partners
• Leading transactions from a drafting / document perspective, with guidance and support from the team with respect to deal parameters
• Understanding of the entire transaction / deal process
• Good work ethic, can work independently and as part of a team
• Liaising with external legal consultants and law firms
• Confident and assured professional
