A diversified local company in Abu Dhabi is currently recruiting for a UAE National –Legal Counsellor . You will be reporting directly to the Company Director

The main role of the Legal Counsellor at the company is to support the Museum Director in the day to day legal activities of the museum. In addition, the Legal Counsellor manages the day to day outsourced legal activities such as conducting legal research, re-checking and interpreting contracts, studying cases, preparing legal reports and interpreting and giving advice on contract matters. He/She is confident with the company’s various policies and procedures and has a strong knowledge of legal matters related to the company and other legal general practices. He/She acts as the prime point of reference for the company’s Director, Deputy Museum Director, and Finance Manager and is also involved in training and mentoring of new, related staff

Responsible for:
- Legal Section

Internal Communication:
- Liaising with all Department Heads, Director, Deputy Museum Director and Board of Directors.

External Communication:
- Liaising with all national and International partners and counsels, External law firms, Ministries and government agencies, regulatory bodies, and others as required by the nature of the role.

Key Responsibilities/Duties

Managerial Role:
- Highlight and mitigate risks and exposures
- Overseeing the policies in line with the applicable legislation and industry best practice
- Contractual management

- Manage relationship with external counsel
- Contributes to essential internal management activities and collaborate in the establishment, staffing, and management of all Museum departments
- Ensures that the performance of various tasks and the conduct of the Museum staff are in accordance with the policies and procedures of the company and of the TCA;
- Contributes to, prepares and submits to the company’s Deputy Director an annual operational budget; manages effectively within this budget, and reports accurately on progress made and challenges encountered;
- Ensures the continued financial viability of the company’s operational units through sound fiscal and legal management.

Organizational Role:
- Provide governance and legal advice to the Board, Director and the Deputy Director
- Advise on changes in legislation affecting the framework
- Build and maintain strong, collaborative relationships with the top management team, external law firms and all Museum staff, and share in legal knowledge dissemination and communications
- Identify legal best practices and improve internal systems with a focus on future needs and legal realities;
- Publicly represent the company’si with the media and external constituency groups including community, governmental, and private organizations, and build excitement for the company’s mission

Functional Role:
- Support the company’s i Director in overseeing and developing corporate governance, policies, bylaws for the museum.
- Highlight and mitigate risks and exposures
- Provide legal advice to the museum departments
- Provide support to all directorates of the company for contract drafting, preparation and negotiation.
- Ensure proper document management and archiving of all contracts engaging the company with any 3rd party.
- Administrative support to the museum secretarial activities
- Clearly instruct external counsel
- Represents the company with legal inquiries from concerned ministries and to ensure a fully acceptable completion / submission of requested documentation from these parties
- Provides legal advice, conducts complex claims to concerned company’s corporate core functions and departments with employees, contractors and other parties
- Manage the outsourcing of legal work with agreed guidelines, select and manage external law firms and ensure quality and cost effectiveness in their services to the organization.
- Evaluated legal impact of key decisions in the event of ambiguous, controversial or conflicting case facts and advise Senior management on consequences.
- Supervises and confirms contracts performed with external parties as to safeguard the Company’s legal stance
- Prepares legal reports in order to ensure that the company’s legal rights are appropriately represented
- Represents the company i at complex external/internal legal commencements, litigation/arbitration, as need be to ensure the appropriate conveyance of company’s message or point of view
- Advises the company’s Director and Deputy Museum Director, particularly of issues regarding the status of collections and intellectual property rights
- Transfer of Knowledge when required

Any other duties appropriate to the post.

Key Accountabilities:
- Contributes to the development of the Company’s operational plan, from the legal point of view, including operating budget, and ensuring its successful completion
- Efficiency of Outsourced Contract Management from the legal point of view

Quality Control:
- Preparation of Senior management reports
- Efficient outsourcing of legal services and3rd party law firms management

Key Performance Measures:
- Museum Strategic Operating plan submitted within the required timeframe, with complete substantiation & justifications, ensuring budgetary & staffing considerations are outlined
- Acceptance of Strategic Plan by the Board of Directors
- Delivery on the plan: operations and programs delivered within time and budget requirements
- Vendor issues are dealt with within pre- set SLA timeframe;
- Contracts are managed legally and within budget.
- Compliance of legal functions to set policies and guidelines;
- Number of problems/gaps identified and resolved within established SLA timeline.
- Timeliness in the preparation of reports
- Accuracy and completeness of reports
- Tracking of the Quality of products provided by outsourced legal services;
- Timeliness in providing legal services
- Cost-effectiveness in selecting outsourced legal services.

Requirements

- Knowledge in legal claims, legal contracts, and entity representation
- Conceptual understanding of various laws e.g. commercial laws like contract law, public relations, industries law, company law, labor law
- Expert knowledge of legal contracts as applied to all operational and commercial transactions
- Sound understanding of all relevant company registrations and permits
- Knowledge of legal consultation providers both within the UAE and internationally
- Sound knowledge of contracting in the UAE
- Proficient in the Microsoft Office suite

SKILLS:
- Plans, sets priorities, organizes legal tasks and coordinates activities within the department
- Manages all legal matters internal and external to the company
- Negotiates with providers and partners in all legal issues
- Manages the relationship with UAE governmental departments and outside legal entities
- Manages and communicates the legal implications of all legal cases
- Fluency in English, fluency in Arabic

Preferred:
- Postgraduate Degree [second cycle; Master, or higher] in law. Post graduate qualification in one aspect of UAE commercial law preferred
- 4 to 8 years’ experience (preferably in the UAE)
- Subject matter expert in such as governance or corporate
