The Role
The purpose of this role is to provide valuable support to a professional and highly experienced Global Transactions department. As a paralegal, you will bring a broad range of skills to the position and ensure all activities are completed to the highest standard. In addition to everyday support tasks there are many opportunities to work closely with associates on global transactions and deals. This is an interesting and varied role which offers an insight into the workings of one of the world's leading law firms.

Key Responsibilities and Deliverables

* Working on a wide variety of transactions for a range of clients
* Working on full scale worldwide mergers of existing businesses, new ventures and a variety of joint ventures
* Involvement with private equity and fund-raising transactions across a wide range of market sectors

Key responsibilities and deliverables

* Among other things, you may be required to assist with:
* Organisation of and attendance at Signings and Closings including:
* Managing conditions precedent process;
* Preparation of documentation particularly corporate authorisations and other customary conditions precedent documents;
* Post closure assistance;
* Client-facing assistance;

Physical and virtual data room management including:

* Collation, copying, redacting and indexing documentation;
* Verification of documentation in the data room;
* Dealing with requests from data room visitors;

Due diligence assistance including:

* Reviewing and summarizing legal documents;
* Assisting in drafting sections in due diligence reports;
* Coordinating question and answer sessions;

Post transaction bible production including:

* Sourcing documents;
* Indexing;
* Arranging publication in hard and/or soft copy;

Document review/proofreading including:

* Checking amendments;
* Verifying cross-references;
* Checking definitions;
* Checking for sense/consistency;

Managing and collating Know-How resources including:

* Helping organise/arrange logistics for training;
* Assist with the identification and collection of KM content;
* Publish/submit content to the firm's know-how system and other deal collection systems following data entry standards and guidelines/policies;
* Assist with the review and maintenance of content in the above systems;
* Assist with the sharing of knowledge, e.g., searches for information, publishes content on the practice group's intranet;
* Undertakes research tasks for fee earners;
* By hand deliveries including the collection and/or delivery of documents
* Assistance with billing
* Preparing first drafts of transaction documents, including fee letters, security agreements and other auxiliary common finance documents
* Liaising with and managing foreign counsel as well as regulators and authorities
* Drafting short memos
* Assisting with preparation and collation of BD and pitch materials
* Other reasonable and lawful tasks as instructed

Requirements

Key requirements (Communication/skills/experience)

Essential

* Undergraduate degree (or equivalent), preferably a law degree or a non-law degree with Graduate Diploma in Law completed
* Previous paralegal experience in an international law firm
* Office administration experience and ideally previous paralegal work experience in the UAE
* Experience with IT packages (MS Office, InTapp, Visio, Intranet)

Desirable

* A master's degree in translation or other relevant area of study
* Bilingual Arabic/English
